This Purchase Order is issued by Mediobanca Financial Group S.p.A. (hereinafter referred to as the "Buyer") to FinExpert Consulting S.r.l. The Financial Analyst engaged under this Purchase Order shall be based and perform all duties at the Buyer's principal office located in Italy Rome, specifically at Via del Corso, 28, 00186 Rome. The scope of work encompasses comprehensive financial modeling, portfolio performance analysis, risk assessment, market research, and the preparation of quarterly and annual financial reports in compliance with Italian and European Union regulatory standards.

The Financial Analyst contracted through this Purchase Order shall deliver the following services on a full-time basis (40 hours per week) at the Italy Rome headquarters:

  • Development and maintenance of complex financial models for equity, fixed income, and derivative instruments.
  • Preparation of monthly, quarterly, and annual financial performance reports for the Board of Directors.
  • Conducting due diligence analyses for potential mergers, acquisitions, and joint ventures within the Italian and European markets.
  • Monitoring and reporting on regulatory compliance in accordance with CONSOB, Banca d'Italia, and ESMA directives applicable in Italy Rome.
  • Providing strategic financial advisory support to the Chief Financial Officer and senior management team.

  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
  2. Performance Location: All services described herein shall be performed exclusively at the Buyer's office in Italy Rome. The Financial Analyst shall be present on-site a minimum of five (5) days per week, with the possibility of up to two (2) remote working days per week subject to prior written approval by the Buyer's Human Resources department.
  3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the Seller's designated account within forty-five (45) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Article 1284 of the Italian Civil Code.
  4. Confidentiality and Data Protection: The Financial Analyst shall be bound by strict confidentiality obligations in accordance with Italian Legislative Decree 196/2003 (as amended by GDPR Regulation EU 2016/679). All financial data, client information, and proprietary models accessed during the performance of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
  5. Termination: Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of material breach, termination may be effected with thirty (30) days' notice. Upon termination, the Seller shall return all proprietary materials, data, and equipment provided by the Buyer at the Italy Rome office.
  6. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Rome, Italy. The parties agree to attempt mediation through the Camera di Commercio di Roma prior to initiating any judicial proceedings.
  7. Compliance: The Seller warrants that the Financial Analyst engaged under this Purchase Order holds all necessary professional qualifications, registrations, and certifications required to perform financial analysis activities in Italy Rome, including but not limited to CONSOB registration where applicable.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government sanctions, or acts of war affecting the Italy Rome region.

This Purchase Order for the engagement of a Financial Analyst in Italy Rome is authorized and executed by the undersigned representatives of both parties, each acting within their respective corporate authority.
