The scope of engagement encompasses full-time professional services rendered on-site at the Kyoto International Business Center, with the Financial Analyst reporting directly to the Director of Corporate Finance.

All amounts are denominated in Japanese Yen (JPY). Payment shall be processed via bank transfer to the vendor account specified in Section 7. This Purchase Order is subject to the standard terms of Meridian Pacific Holdings K.K. and applicable Japanese commercial law.

The Financial Analyst shall commence active service no later than July 1, 2025, at the Japan Kyoto office located at Kyoto International Business Center, 15F, 2-14-8 Shichijo, Nakagyo-ku, Kyoto. The vendor is responsible for ensuring the Financial Analyst meets all Japanese employment eligibility requirements, including valid work authorization, prior to the commencement date. The Financial Analyst shall adhere to the standard Japanese business hours of 09:00 to 18:00 (Japan Standard Time), Monday through Friday, with flexibility for fiscal reporting deadlines. All deliverables, including monthly financial reports, quarterly strategic analyses, and ad-hoc modeling requests, shall be submitted to the Director of Corporate Finance via the internal Japan Kyoto document management system no later than the 5th business day of the following month.

Payment for this Purchase Order shall be made on a monthly basis, net 30 days from the date of invoice receipt. Invoices shall be submitted by the vendor on the last business day of each calendar month, itemized by line item as specified in Section 4. The vendor shall provide a valid Japanese invoice (kaikei) with appropriate consumption tax documentation. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Japanese Late Payment of Compensation Act. The total contract value under this Purchase Order is JPY 14,892,900 inclusive of all applicable taxes.

8.1 This Purchase Order constitutes a binding agreement between Meridian Pacific Holdings K.K. and Apex Talent Solutions International Co., Ltd. for the procurement of Financial Analyst professional services in Japan Kyoto.

8.2 The Financial Analyst shall be bound by a strict confidentiality and non-disclosure agreement covering all financial data, proprietary models, and strategic information encountered during the engagement in Japan Kyoto.

8.3 Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the vendor shall be compensated for services rendered through the termination date, plus a transition fee of one month's base services fee.

8.4 The vendor warrants that the Financial Analyst possesses a minimum of five (5) years of relevant experience in corporate finance, holds a CFA or equivalent certification, and is proficient in Japanese and English business communication.

8.5 All disputes arising from this Purchase Order shall be resolved through arbitration in Kyoto, Japan, under the rules of the Japan Commercial Arbitration Association.

8.6 This Purchase Order is governed by the laws of Japan, with specific reference to the Commercial Code and the Labor Standards Act as applicable to the Financial Analyst engagement.
