This Purchase Order is issued by Sumitomo Kasei Financial Holdings K.K. to Meridian Advisory Partners LLC for the engagement of a qualified Financial Analyst to provide comprehensive financial analysis, forecasting, and strategic advisory services. 5.1 Scope of Engagement. The Financial Analyst engaged under this Purchase Order shall possess a minimum of seven (7) years of demonstrated experience in corporate finance, with specific proficiency in Japanese and international accounting frameworks. The Financial Analyst shall report directly to the Chief Financial Officer of the buyer and shall conduct all analytical work from the designated office in Japan Tokyo unless prior written approval is granted for remote work.
5.2 Payment Terms. Payment for this Purchase Order shall be made in Japanese Yen (JPY) via bank transfer to the account designated by the seller. Invoices shall be submitted on the last business day of each calendar month. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Japanese Late Payment of Compensation Act (Act on Special Provisions Concerning the Compensation for Delayed Payment).
5.3 Performance Location. All services rendered under this Purchase Order shall be performed at the buyer's premises in Japan Tokyo, specifically at 1-1-1 Marunouchi, Chiyoda-ku, Tokyo. The Financial Analyst shall comply with all internal security protocols, data handling policies, and confidentiality obligations of the buyer's Japan Tokyo facility.
5.4 Confidentiality and Data Protection. The Financial Analyst shall handle all financial data, proprietary models, and internal reports in strict accordance with the Act on the Protection of Personal Information (APPI) of Japan and the buyer's internal data governance framework. No financial information pertaining to the buyer's Japan Tokyo operations shall be disclosed to any third party without express written consent.
5.5 Termination. Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the seller shall deliver all completed work product and return all confidential materials within ten (10) business days.
5.6 Governing Law and Jurisdiction. This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tokyo District Court in Japan Tokyo.
5.7 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Japan Tokyo metropolitan area, government-mandated business closures, or pandemics, provided that the affected party notifies the other within five (5) business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Financial Analyst in Japan Tokyo. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
