This Purchase Order is issued by Al-Nakheel Corporate Services LLC (hereinafter referred to as "the Buyer") to Meridian Talent Solutions FZE (hereinafter referred to as "the Vendor") for the provision of a qualified Financial Analyst to be stationed and performing duties at the Buyer's principal office located in Kuwait, Kuwait City. The Financial Analyst shall be responsible for the preparation, analysis, and reporting of all financial data, budgeting exercises, variance analyses, and strategic forecasting activities in support of the Buyer's operations within Kuwait Kuwait City and its regional subsidiaries.

The Financial Analyst engaged under this Purchase Order shall perform the following duties while based in Kuwait Kuwait City:

• Prepare monthly, quarterly, and annual financial statements in compliance with IFRS and Kuwaiti statutory reporting requirements.
• Conduct variance analysis between actual performance and budgeted figures, providing written commentary to the Chief Financial Officer.
• Develop and maintain rolling 12-month financial forecasts and capital expenditure models for all business units operating in Kuwait Kuwait City.
• Manage the monthly closing process, including reconciliation of intercompany accounts and consolidation of subsidiary ledgers.
• Prepare board-level presentations and investor reports highlighting key financial metrics, liquidity positions, and risk exposures.
• Coordinate with external auditors, tax advisors, and the Kuwait Authority for Financial Markets (KAFM) as required.
• Implement and maintain internal financial controls in alignment with the Buyer's corporate governance framework.
• Provide ad-hoc financial modelling and scenario analysis to support strategic decision-making by senior management.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Kuwait Kuwait City.
2. Commencement: The Financial Analyst shall report for duty at the Buyer's office in Kuwait Kuwait City no later than 01 July 2025. The Vendor is responsible for ensuring all immigration, work permit, and residency documentation is completed prior to this date.
3. Performance Standards: The Financial Analyst shall meet the key performance indicators (KPIs) outlined in the attached Service Level Agreement (SLA), including a minimum of 95% on-time delivery of all scheduled financial reports.
4. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination, less any applicable deductions.
5. Confidentiality: The Financial Analyst shall be bound by a strict Non-Disclosure Agreement (NDA) covering all financial data, proprietary models, and strategic information encountered during the engagement in Kuwait Kuwait City.
6. Compliance: The Vendor warrants that the Financial Analyst meets all qualification requirements set forth in the Buyer's job specification and complies with all applicable Kuwaiti labour, tax, and financial regulations.
7. Anti-Bribery: Both parties confirm that no part of the consideration under this Purchase Order constitutes a bribe, kickback, or improper payment in violation of Kuwaiti or international anti-corruption laws.

Payments under this Purchase Order shall be made via bank transfer to the Vendor's designated account in Kuwaiti Dinars (KWD). Invoices shall be submitted on the last working day of each month for the preceding month's services. The Buyer shall process payment within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 2% per month as permitted under Kuwaiti commercial law.

This Purchase Order becomes effective upon signature by both parties. The Vendor acknowledges receipt of this Purchase Order and agrees to furnish the Financial Analyst services as described herein for the duration specified, with the primary place of performance being Kuwait Kuwait City.
