This Purchase Order is issued by Meridian Capital Advisory Sdn. Bhd. (hereinafter referred to as the "Buyer") to Apex Talent Solutions (M) Sdn. Bhd. (hereinafter referred to as the "Supplier") for the procurement of professional Financial Analyst services to be performed in Malaysia Kuala Lumpur. The Buyer requires the engagement of a qualified and experienced Financial Analyst to support the Buyer's corporate finance, investment analysis, and financial reporting functions within its Malaysia Kuala Lumpur headquarters.

The Financial Analyst engaged under this Purchase Order shall be responsible for preparing and maintaining financial models, conducting variance analysis, producing monthly and quarterly financial reports, performing ratio analysis, forecasting cash flows, supporting budgeting and forecasting cycles, and providing analytical insights to senior management. All deliverables and work products shall be prepared in accordance with Malaysian Financial Reporting Standards (MFRS) and International Financial Reporting Standards (IFRS) as applicable in Malaysia Kuala Lumpur.

The Financial Analyst engaged pursuant to this Purchase Order shall perform the following duties at the Buyer's office located in Malaysia Kuala Lumpur:

• Prepare and maintain comprehensive financial models for capital expenditure planning, project appraisal, and investment evaluation.
• Conduct monthly variance analysis comparing actual performance against budget and forecast, identifying key drivers of deviation.
• Produce monthly management accounts and quarterly board-level financial reports in compliance with the Companies Act 2016 of Malaysia.
• Perform detailed ratio analysis, trend analysis, and peer benchmarking for the Buyer's portfolio of investments.
• Support the annual budgeting and mid-year forecasting processes, coordinating input from all departments within the Malaysia Kuala Lumpur office.
• Maintain and update the general ledger, perform month-end and year-end closing activities, and ensure reconciliation of all accounts.
• Assist the Finance Director in preparing statutory filings with the Companies Commission of Malaysia (SSM) and the Inland Revenue Board of Malaysia (LHDN).
• Provide ad-hoc analytical support for mergers and acquisitions due diligence, credit analysis, and internal audit requests.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of Malaysia, specifically the Federal Territory of Kuala Lumpur jurisdiction.
2. The Supplier warrants that the Financial Analyst engaged under this Purchase Order holds a minimum of a Bachelor's degree in Accounting, Finance, or a related discipline from a recognised institution in Malaysia or internationally, and possesses a minimum of five (5) years of relevant experience in financial analysis.
3. The Financial Analyst shall be subject to the Buyer's code of conduct, confidentiality policies, and data protection protocols in full compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
4. All work performed by the Financial Analyst shall be carried out at the Buyer's premises in Malaysia Kuala Lumpur unless prior written approval is granted for remote or hybrid work arrangements.
5. The Supplier shall ensure that all statutory employer contributions, including EPF (Employees Provident Fund), SOCSO (Social Security Organisation), and EIS (Employment Insurance System), are remitted in accordance with Malaysian law.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
7. Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur before either party may initiate arbitration proceedings under the Arbitration Act 2005 of Malaysia.
8. The Supplier shall maintain professional indemnity insurance with a minimum coverage of MYR 1,000,000 for the duration of this Purchase Order.
9. All invoices must reference this Purchase Order number (MCA-PO-2025-00472) and shall be submitted to the Buyer's Accounts Payable department in Malaysia Kuala Lumpur no later than the 5th business day of the following month.

This Purchase Order constitutes a firm and binding commitment by the Buyer to procure the Financial Analyst services described herein. The Supplier's acceptance of this Purchase Order shall be confirmed in writing within five (5) business days of the date of issue. Failure to confirm within the stipulated period shall be deemed a rejection of this Purchase Order.
