4.1 Payment Terms: Payment for services rendered under this Purchase Order shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid invoice from the Financial Analyst. All payments shall be processed via bank transfer to the account specified in Section 2. The buyer, operating from its registered office in Morocco Casablanca, shall deduct any applicable withholding tax as mandated by the Moroccan Directorate General of Taxation (DGI) in Casablanca.
4.2 Performance Standards: The Financial Analyst shall deliver all reports, analyses, and deliverables in accordance with International Financial Reporting Standards (IFRS) and the Moroccan General Accounting System (SYSCOHADA). All work products shall be submitted to the buyer's Finance Director at the Casablanca headquarters no later than the fifth business day of the following month.
4.3 Confidentiality: The Financial Analyst acknowledges that all financial data, proprietary information, and strategic documents accessed during the engagement under this Purchase Order are strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. The Financial Analyst shall not disclose any information to third parties without prior written consent from the buyer, in compliance with data protection laws applicable in Morocco Casablanca.
4.4 Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach by the Financial Analyst, the buyer may terminate this Purchase Order immediately upon written notice. Upon termination, the Financial Analyst shall deliver all completed work products and return all company documents within ten (10) business days.
4.5 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Casablanca, Morocco Casablanca.
4.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Morocco Casablanca region.
5. Acceptance and AuthorizationBy signing below, both parties confirm their agreement to all terms set forth in this Purchase Order for the engagement of the Financial Analyst in Morocco Casablanca. This Purchase Order becomes effective upon the last signature and remains valid until the completion of all listed services or until the expiration date stated herein, whichever occurs first.
