This Purchase Order is issued by Himalayan Corporate Solutions Pvt. Ltd., a registered entity operating out of Nepal Kathmandu, to Everest Analytics & Advisory LLP for the engagement of a qualified Financial Analyst to provide comprehensive financial analysis, reporting, and advisory services. The Financial Analyst shall be deployed at our Nepal Kathmandu headquarters for a contract period of twelve (12) months, commencing on 1 August 2025. This Purchase Order governs all terms, deliverables, compensation, and obligations related to the Financial Analyst engagement in Nepal Kathmandu.

3. PAYMENT TERMS

Payment shall be made in Nepalese Rupees (NPR) via bank transfer to the vendor's account at Nabil Bank Ltd., Baneshwor Branch, Nepal Kathmandu. Account No.: 012-456789-01.
Monthly professional fees for the Financial Analyst shall be payable within fifteen (15) calendar days from the end of each calendar month.
Quarterly strategic review fees shall be payable within ten (10) business days following the submission of the quarterly report.
One-time charges (software license, onboarding, appraisal) shall be payable within thirty (30) days of the invoice date.
Any delay in payment beyond the stipulated period shall attract interest at the rate of 1.5% per month, in accordance with the Purchase Order terms and applicable Nepali commercial law.
All payments are subject to the vendor submitting a valid Tax Invoice with VAT registration number as mandated by the Inland Revenue Department, Nepal Kathmandu.

4. TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between Himalayan Corporate Solutions Pvt. Ltd. and Everest Analytics & Advisory LLP upon signature by both parties.
The Financial Analyst engaged under this Purchase Order shall comply with all applicable laws of Nepal, including the Companies Act 2063, the Nepal Labour Act 2074, and regulations issued by SEBON and the Nepal Rastra Bank.
The Financial Analyst shall maintain strict confidentiality of all financial data, proprietary information, and trade secrets of the company. A Non-Disclosure Agreement (NDA) shall be executed prior to commencement of duties at the Nepal Kathmandu office.
The vendor shall ensure that the Financial Analyst holds a minimum of a Bachelor's degree in Finance, Accounting, or a related discipline, along with a minimum of five (5) years of relevant experience in financial analysis within the Nepali or South Asian market.
The Financial Analyst shall work a standard schedule of 48 hours per week, Monday through Friday, at the Nepal Kathmandu premises, with flexibility for occasional weekend work during month-end and year-end closing periods.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall ensure a smooth transition of all Financial Analyst deliverables and documentation.
All disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act 2055 of Nepal.
This Purchase Order is governed by and shall be construed in accordance with the laws of the Kingdom of Nepal.

5. DELIVERY AND COMMENCEMENT

The Financial Analyst shall report for duty at the Nepal Kathmandu office (Shree Krishna Marg, New Baneshwor) on or before 1 August 2025. All onboarding documentation, including employment contracts, social security enrollment (SSSF), and tax withholding registration, shall be completed within the first five (5) working days. The vendor is responsible for ensuring the Financial Analyst is fully equipped with necessary tools, access credentials, and training prior to the commencement date specified in this Purchase Order.
