All payments under this Purchase Order shall be made in Korean Won (KRW) via bank transfer to the supplier's designated account at Woori Bank, Seoul Central Branch. Invoices shall be submitted on the last business day of each calendar month. Payment is due within thirty (30) days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month in accordance with the Korean Commercial Act. The total contract value of KRW 147,444,000 (inclusive of VAT) represents the full financial commitment for the Financial Analyst engagement in South Korea Seoul for the initial twelve-month term.
- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul under the rules of the Korean Commercial Arbitration Board (KCAB).
- Confidentiality: The Financial Analyst shall be bound by a strict non-disclosure agreement covering all proprietary financial data, client information, and strategic plans of Meridian Global Holdings, Inc. This obligation survives termination of the engagement for a period of three (3) years.
- Compliance: The Financial Analyst shall comply with all applicable regulations of the Financial Services Commission (FSC) of South Korea, the Korea Financial Supervisory Service (KFSS), and the Korea Securities Depository (KSD) as they pertain to financial analysis and reporting activities conducted in South Korea Seoul.
- Work Location: All services under this Purchase Order shall be performed at the buyer's office located at 63 Teheran-ro, Gangnam-gu, Seoul, South Korea, or at such other location within the Seoul metropolitan area as mutually agreed in writing.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, all outstanding invoices for services rendered through the termination date shall be settled in full.
- Intellectual Property: All financial models, analyses, reports, and deliverables produced by the Financial Analyst in the course of this engagement shall be the sole property of Meridian Global Holdings, Inc.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in South Korea Seoul.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Financial Analyst services in South Korea Seoul. This document constitutes a binding agreement effective as of the date of the last signature below.
