Payment under this Purchase Order shall be made in accordance with the following schedule. The buyer shall remit payment via SEPA bank transfer to the supplier's designated account in Spain Barcelona. Invoices must reference this Purchase Order number (PO-2025-SP-0487) and shall be submitted by the 5th business day of the month following the service period. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall accrue interest at the rate prescribed by Spanish Royal Decree 4/2013 on late payment in commercial transactions. All amounts are stated in Euros (EUR) and are inclusive of applicable Spanish VAT (IVA) at the current rate of 21%, unless otherwise exempt under the Spanish tax code.
5.1 This Purchase Order is governed by the laws of the Kingdom of Spain, and any disputes arising from the interpretation or execution of this document shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain Barcelona.
5.2 The Financial Analyst engaged under this Purchase Order shall maintain full professional confidentiality regarding all financial data, proprietary models, and strategic information of the buyer. A separate Non-Disclosure Agreement (NDA) executed in Spain Barcelona shall accompany this Purchase Order.
5.3 The supplier guarantees that the Financial Analyst assigned to this engagement holds a minimum of five (5) years of post-qualification experience in corporate finance, possesses a recognised professional qualification (e.g., CFA, ACCA, or equivalent Spanish qualification), and is fully insured for professional liability in the region of Spain Barcelona.
5.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable only for services rendered up to the effective date of termination as documented by the Financial Analyst.
5.5 All work product, including but not limited to financial models, spreadsheets, reports, and analytical frameworks produced by the Financial Analyst under this Purchase Order, shall become the exclusive intellectual property of the buyer upon full payment.
5.6 The Financial Analyst shall be based and perform all duties from a registered office within the city of Barcelona, Spain Barcelona, and shall be available for on-site meetings at the buyer's premises located in the Eixample district of Barcelona, no fewer than two (2) days per week.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Financial Analyst services in Spain Barcelona and supersedes all prior negotiations, correspondence, and understandings between the parties regarding this engagement.
