All prices are quoted in Swiss Francs (CHF). The applicable VAT rate of 7.7% is in accordance with the Swiss Federal Act on Value Added Tax (VAT Act) as enforced in Switzerland Zurich. Payment shall be made to the supplier's designated Swiss bank account via direct debit or wire transfer.

1. This Purchase Order is governed by and shall be construed in accordance with the Swiss Code of Obligations and applicable commercial law in force in Switzerland Zurich. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland.
2. The Financial Analyst(s) engaged under this Purchase Order shall be bound by strict confidentiality obligations in accordance with Swiss data protection law (nFADP) and shall sign a non-disclosure agreement prior to commencing work in the Switzerland Zurich office.
3. Alpine Talent Solutions GmbH warrants that the Financial Analyst(s) provided shall hold the requisite professional qualifications, including but not limited to a recognized degree in Finance, Economics, or a related discipline, and shall maintain all necessary professional certifications valid in Switzerland.
4. Helvetia Capital Advisory AG reserves the right to terminate this Purchase Order with 60 days' written notice in the event of material non-performance by the supplier or the Financial Analyst.
5. All work products, financial models, reports, and analyses created by the Financial Analyst in the course of performing duties under this Purchase Order shall be the exclusive intellectual property of Helvetia Capital Advisory AG.
6. The supplier shall ensure that the Financial Analyst complies with all Swiss labor regulations, including the Swiss Federal Act on Foreign Nationals and Integration (FNI), and that valid work permits are in place for the duration of the engagement in Switzerland Zurich.
7. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures in Switzerland Zurich, shall temporarily suspend obligations under this Purchase Order without penalty to either party.
