- This Purchase Order constitutes a binding agreement between Siam Pacific Capital Group Co., Ltd. (the "Buyer") and Bangkok Elite Talent Solutions Co., Ltd. (the "Supplier") for the procurement of Financial Analyst professional services to be delivered at the Buyer's premises in Thailand Bangkok.
- All Financial Analyst personnel engaged under this Purchase Order shall be subject to the Labour Protection Act B.E. 2541 (1998) of Thailand and all applicable regulations enforced by the Ministry of Labour in Bangkok. The Supplier shall bear full responsibility for statutory employer contributions, including the Social Security Fund, Provident Fund, and annual leave entitlements.
- The Financial Analyst(s) shall commence duties no later than 1 August 2025 at the Buyer's Thailand Bangkok headquarters located at Siam Tower, Pathum Wan, Bangkok. A minimum of ten (10) business days' written notice is required for any change to the commencement date.
- Payment shall be made via bank transfer to the Supplier's designated account in Thai Baht (THB) within thirty (30) calendar days from the date of a valid tax invoice issued in accordance with the Revenue Code of Thailand. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Thai commercial law.
- The Supplier warrants that each Financial Analyst assigned under this Purchase Order shall be free from any conflicting employment obligations, shall not disclose any confidential or proprietary financial data of the Buyer to third parties, and shall sign a non-disclosure agreement (NDA) specific to the Thailand Bangkok jurisdiction prior to commencing work.
- This Purchase Order may be terminated by either party with sixty (60) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective termination date, and the Supplier shall facilitate the orderly transition and handover of all Financial Analyst work products, files, and access credentials within the Thailand Bangkok office.
- All disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Bangkok International Arbitration Centre (BIAC) before resorting to litigation in the competent courts of Bangkok, Thailand.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Kingdom of Thailand. Any amendments must be made in writing and signed by authorized representatives of both parties.
