(hereinafter referred to as the "Buyer") to Apex Talent Partners LLP (hereinafter referred to as the "Supplier") for the procurement and placement of a qualified Financial Analyst professional to be based and operational within the city of Birmingham, United Kingdom. The Financial Analyst shall be engaged on a full-time, permanent basis to support the Buyer's corporate finance division, providing comprehensive financial modelling, variance analysis, budgeting support, and strategic reporting services.

The scope of this Purchase Order encompasses the full recruitment, onboarding, and initial placement of the Financial Analyst candidate, including all associated administrative processing, background verification, and compliance checks required under United Kingdom employment law. The Financial Analyst shall commence duties at the Buyer's principal office located in Birmingham, United Kingdom, and shall report directly to the Head of Corporate Finance.

The Supplier shall deliver the following services in connection with this Purchase Order:

All services under this Purchase Order shall be performed and delivered in and around Birmingham, United Kingdom. The Financial Analyst shall be physically present at the Buyer's Birmingham office for a minimum of four (4) days per week, with the remaining day allocated to remote work as per the Buyer's hybrid working policy. The Supplier acknowledges that all recruitment marketing, candidate engagement, and onboarding activities shall be conducted with specific reference to the Birmingham, United Kingdom labour market and local professional networks.

The Supplier warrants that the Financial Analyst placed under this Purchase Order shall hold valid right-to-work status in the United Kingdom and shall be fully compliant with all applicable UK employment, tax, and immigration legislation as it pertains to the Birmingham metropolitan area and the wider United Kingdom jurisdiction.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 50% (£8,670.00) – Due upon successful placement and commencement of the Financial Analyst at the Birmingham, United Kingdom office.
• 30% (£5,202.00) – Due upon completion of the ninety (90) day guarantee period without the need for replacement.
• 20% (£3,468.00) – Due upon successful completion of the first annual professional development cycle for the Financial Analyst.

All payments shall be made via BACS transfer to the Supplier's designated bank account within thirty (30) days of receipt of a valid invoice referencing this Purchase Order number (PO-UK-BHM-2025-04782). Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.

This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom. The Supplier shall maintain professional indemnity insurance with a minimum cover of £5,000,000 for the duration of this engagement. The Financial Analyst placed under this Purchase Order shall be bound by the Buyer's standard confidentiality and non-disclosure agreements, and the Supplier shall ensure that all candidate data is processed in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

The Buyer reserves the right to amend or cancel this Purchase Order in writing, subject to a minimum of fourteen (14) days' notice. In the event of cancellation after the Financial Analyst has commenced duties, the Buyer shall be liable for all costs incurred by the Supplier up to the date of cancellation, as itemised in a final invoice.
