This Purchase Order is issued by Meridian Capital Advisory Group, LLC (hereinafter referred to as the "Purchasing Entity") to Apex Talent Solutions, Inc. (hereinafter referred to as the "Service Provider") for the recruitment, placement, and ongoing professional engagement of a qualified Financial Analyst to support the firm's quantitative modeling, portfolio performance evaluation, and regulatory reporting functions. The Financial Analyst shall be physically based and perform all duties at the Purchasing Entity's principal office located in United States Los Angeles, specifically at the Wilshire Boulevard address listed above. This Purchase Order governs all terms, conditions, compensation structures, and deliverables associated with the engagement of the Financial Analyst position for the initial twelve-month contract period commencing July 1, 2025, and concluding June 30, 2026, unless extended in writing by mutual agreement of both parties.

The Financial Analyst engaged under this Purchase Order shall perform the following duties at the United States Los Angeles office:

Prepare and maintain quarterly and annual financial models, variance analyses, and forecasting reports for the firm's investment portfolio exceeding $2.4 billion in assets under management.
Conduct due diligence on prospective mergers, acquisitions, and joint ventures, producing detailed valuation memos and risk assessments for the executive committee.
Monitor and report on SEC, FINRA, and California Department of Financial Protection and Innovation (DFPI) regulatory compliance requirements applicable to the firm's operations in United States Los Angeles.
Collaborate with the Chief Financial Officer and the Treasury department to optimize working capital, manage cash flow projections, and evaluate capital expenditure proposals.
Develop and present monthly performance dashboards to the Board of Directors, highlighting key performance indicators, sector allocations, and risk-adjusted returns.
Assist in the preparation of annual audited financial statements in accordance with U.S. Generally Accepted Accounting Principles (GAAP) and International Financial Reporting Standards (IFRS) where applicable.

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and applicable federal United States statutes. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
Payment Schedule: The recruitment and placement fee (Item 01) shall be due within fifteen (15) business days of the Financial Analyst's successful completion of the ninety-day probationary period. Monthly retainers (Item 02) shall be invoiced on the first business day of each month and are payable within thirty (30) days of invoice receipt. All remaining line items shall be invoiced upon completion of the respective deliverable.
Confidentiality: The Service Provider and the Financial Analyst shall execute a mutual Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary financial data, client information, and strategic business plans of Meridian Capital Advisory Group, LLC shall remain strictly confidential and shall not be disclosed to any third party without prior written consent.
Compliance: The Service Provider warrants that the Financial Analyst shall be fully compliant with all applicable United States federal, California state, and Los Angeles municipal employment laws, including but not limited to the California Labor Code, the Fair Employment and Housing Act (FEHA), and the Los Angeles Municipal Code Chapter 4 (Labor and Employment).
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination prior to the completion of the twelve-month term, the Service Provider shall be entitled to a pro-rated portion of the remaining monthly retainer, subject to a minimum payment of three (3) months' retainer.
Insurance and Indemnification: The Service Provider shall maintain general liability insurance with a minimum coverage of $2,000,000 per occurrence and shall indemnify and hold harmless the Purchasing Entity against any claims, losses, or liabilities arising from the Service Provider's negligence or breach of this Purchase Order.
Work Location: All services under this Purchase Order shall be rendered at the Purchasing Entity's office in United States Los Angeles. Remote work, if permitted, shall not exceed two (2) days per week and requires prior written approval from the Purchasing Entity's Human Resources department.

This Purchase Order is effective upon execution by both parties. By signing below, each party acknowledges that it has read, understood, and agrees to be bound by all terms and conditions set forth in this Purchase Order for the engagement of the Financial Analyst in United States Los Angeles.
