This Purchase Order is issued by Corporación Andina de Servicios Financieros, C.A., headquartered in Venezuela Caracas, to formally engage the services of a qualified Financial Analyst for the period specified herein. The Financial Analyst shall provide comprehensive financial advisory, portfolio analysis, risk assessment, and strategic planning services to support the operational and investment decisions of the purchasing entity within the Venezuela Caracas metropolitan business district.

The scope of work for the Financial Analyst includes, but is not limited to: quarterly financial statement analysis, cash flow forecasting, capital budgeting evaluations, credit risk modeling, regulatory compliance reporting in accordance with the Central Bank of Venezuela (BCV) guidelines, and preparation of investment memos for the Board of Directors. All deliverables shall be produced in both Spanish and English to accommodate the bilingual operations of the firm in Venezuela Caracas.

Payment for the services rendered under this Purchase Order shall be made in United States Dollars (USD) via wire transfer to the bank account designated by the Financial Analyst. Invoices shall be submitted on the last business day of each month. Payment is due within fifteen (15) calendar days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with commercial practice in Venezuela Caracas. The total contract value of this Purchase Order is Fifty-Three Thousand Nine Hundred Forty United States Dollars (USD $53,940.00), inclusive of applicable Venezuelan tax obligations.

This Purchase Order constitutes a binding agreement between the purchasing entity and the Financial Analyst upon signature by both parties. All services shall be performed in Venezuela Caracas unless otherwise agreed in writing.
The Financial Analyst shall maintain full professional confidentiality regarding all financial data, client information, and proprietary strategies of the purchasing entity. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
The Financial Analyst shall comply with all applicable Venezuelan financial regulations, including those issued by the Central Bank of Venezuela (BCV), the Superintendencia Nacional de Valores (SUNAVCO), and the tax authority (SENIAT) in Venezuela Caracas.
Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Financial Analyst shall be compensated for all services rendered up to the effective date of termination.
All disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas, in accordance with the Venezuelan Commercial Code and the applicable arbitration rules of the Chamber of Commerce of Venezuela Caracas.
The Financial Analyst shall provide a final comprehensive report within ten (10) business days of the completion of the engagement period, summarizing all analyses, recommendations, and financial projections prepared during the term of this Purchase Order.
This Purchase Order is governed by the laws of the Republic of Venezuela. The venue for any legal proceedings shall be the commercial courts of Venezuela Caracas.

The Financial Analyst shall commence services on July 1, 2025, and the engagement shall conclude on December 31, 2025. All monthly reports shall be delivered by the 5th business day of the following month. Quarterly risk assessments shall be delivered within ten (10) business days of quarter-end. The strategic investment feasibility study shall be delivered no later than October 15, 2025. All deliverables shall be submitted electronically and in hard copy to the offices of the purchasing entity located in Venezuela Caracas.
