3.1 Scope of Engagement: This Purchase Order authorises the procurement of qualified Financial Analyst professional services to be rendered exclusively at the ZNFS premises and designated client sites within the Zimbabwe Harare metropolitan area. The Financial Analyst personnel must hold a minimum of a Bachelor's degree in Finance, Accounting, or Economics, and possess at least five (5) years of demonstrable experience in financial reporting within the Southern African Development Community (SADC) region.
3.2 Commencement and Duration: Services shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to satisfactory performance reviews conducted quarterly. The Financial Analyst team is expected to be fully operational and on-site in Zimbabwe Harare no later than the first business day of the contract period.
3.3 Payment Terms: Payment shall be made in monthly instalments within thirty (30) calendar days of receipt of a valid tax invoice from the vendor. All payments shall be processed in United States Dollars (USD) via electronic funds transfer to the bank account specified in Section 1. The vendor is required to submit invoices to the ZNFS Procurement Department, Harare, no later than the fifth (5th) business day of each month.
3.4 Compliance with Zimbabwean Law: The vendor and all Financial Analyst personnel engaged under this Purchase Order shall comply with all applicable laws of the Republic of Zimbabwe, including but not limited to the Labour Act [Chapter 28:01], the Income Tax Act [Chapter 23:06], the National Social Security Authority (NSSA) contributions, and the regulations of the Reserve Bank of Zimbabwe governing the handling of sensitive financial data within Zimbabwe Harare.
3.5 Confidentiality and Data Protection: All financial data, client records, and proprietary information accessed by the Financial Analyst team in the course of performing duties in Zimbabwe Harare shall be treated as strictly confidential. The vendor shall execute a Non-Disclosure Agreement (NDA) prior to the commencement of services. Any breach of confidentiality shall render the vendor liable for damages and immediate termination of this Purchase Order.
3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The ZNFS reserves the right to terminate immediately in the event of material breach, insolvency, or failure to meet the performance benchmarks outlined in the Service Level Agreement (SLA) annexed to this document.
3.7 Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. Should resolution not be achieved within fifteen (15) days, the matter shall be referred to arbitration under the rules of the Zimbabwe Arbitration Centre, Harare, in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe.
3.8 Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in Zimbabwe Harare or the broader Zimbabwean territory.
