TERMS AND CONDITIONS

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. All disputes shall be resolved in the courts of Toronto, Ontario, Canada.

2. Delivery: All Firefighter equipment and supplies shall be delivered to the Toronto Fire Services main depot located at 1800 Queen Street West, Toronto, ON M6R 1H5, Canada. Delivery must be completed no later than August 15, 2025. The vendor shall provide a minimum of 10 business days written notice prior to delivery to each designated Toronto Firefighter station.

3. Compliance Standards: All Firefighter protective equipment must comply with the Canadian Standards Association (CSA) F370, NFPA 1851, NFPA 1981, and NFPA 1971 standards. The vendor warrants that all items are manufactured to meet or exceed the safety requirements established for Firefighter operations in Canada Toronto and the Province of Ontario.

4. Inspection & Acceptance: Upon delivery, Toronto Fire Services personnel shall inspect all Firefighter equipment within five (5) business days. Any items found defective, non-compliant, or damaged shall be replaced at the vendor's sole expense within fourteen (14) calendar days.

5. Payment: Payment shall be made within forty-five (45) calendar days of receipt of a valid invoice and successful inspection of all Firefighter goods. Payment shall be issued via electronic funds transfer (EFT) to the vendor's registered Canadian bank account. All amounts are denominated in Canadian Dollars (CAD).

6. Warranty: The vendor shall provide a minimum five (5) year warranty on all structural Firefighter turnout gear and SCBA units, and a three (3) year warranty on all electronic and hydraulic equipment. Warranty service shall be available at no additional cost at any Toronto Firefighter station or the vendor's Mississauga, Ontario, Canada facility.

7. Confidentiality: The vendor acknowledges that this Purchase Order contains sensitive operational information pertaining to Firefighter readiness and emergency response capabilities in Canada Toronto. No information shall be disclosed to third parties without written authorization from the City of Toronto.

8. Cancellation: The City of Toronto reserves the right to cancel this Purchase Order in whole or in part with thirty (30) days written notice. In the event of cancellation, the vendor shall be compensated for materials already procured and non-recoverable costs, subject to mutual agreement.

9. Insurance: The vendor shall maintain comprehensive general liability insurance of no less than $5,000,000 CAD and product liability insurance of no less than $10,000,000 CAD for all Firefighter equipment supplied under this Purchase Order, with the City of Toronto named as an additional insured.
