All Firefighter equipment and materials shall be delivered to the designated Firefighter stations and facilities within Iraq Baghdad no later than 30 November 2025. The Supplier shall arrange all international shipping, customs clearance at Baghdad International Airport (BGW) or the Basra port (as applicable for overland freight), and final-mile delivery to each Firefighter site. All goods must comply with Iraqi Standards and Metrology Organization (ISM) regulations and the specific Firefighter safety standards mandated by the Ministry of Interior. The Supplier bears full responsibility for insurance, transit risk, and any damage or loss until the Firefighter equipment is formally received and signed for by the Buyer's designated Firefighter station commander at each Iraq Baghdad delivery point.
5. PAYMENT TERMSPayment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable Letter of Credit (LC) issued by the Central Bank of Iraq, Baghdad branch, in favor of the Supplier. The payment schedule is as follows:
- 30% Advance Payment ($2,177,250.00) upon issuance of the confirmed Letter of Credit and receipt of the Supplier's performance bond.
- 50% Progress Payment ($3,628,750.00) upon successful delivery, inspection, and acceptance of all Firefighter equipment at the designated Iraq Baghdad locations.
- 20% Retention Payment ($1,451,500.00) payable upon completion of the 90-day Firefighter equipment warranty and commissioning period, with no outstanding defects.
- This Purchase Order is governed by the laws of the Republic of Iraq and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Baghdad, Iraq, under the rules of the Iraqi Arbitration Center.
- All Firefighter equipment must carry valid CE, UL, or equivalent international certification. The Supplier shall provide all test certificates, material safety data sheets (MSDS), and Firefighter-specific compliance documentation prior to shipment.
- The Supplier shall provide on-site Firefighter training for a minimum of 14 working days at the Baghdad Firefighter Training Academy, covering operation, maintenance, and emergency protocols for all delivered systems.
- A minimum 24-month warranty is required on all Firefighter apparatus and mechanical components. The warranty shall be serviced locally in Iraq Baghdad through an authorized Firefighter equipment service partner.
- The Supplier shall maintain a dedicated Firefighter spare parts inventory in Baghdad for a minimum of 36 months following final delivery, ensuring 48-hour response for critical Firefighter component failures.
- Force majeure events, including but not limited to regional security disruptions affecting Iraq Baghdad, shall be addressed per standard international trade practice. Neither party shall be liable for delays caused by acts of war, civil unrest, or government-imposed embargoes specific to the Iraq Baghdad region.
- All Firefighter equipment delivered under this Purchase Order shall be free of liens, encumbrances, and third-party claims. Title and risk of loss transfer to the Buyer upon physical delivery and written acceptance at the Iraq Baghdad site.
- The Supplier shall comply with all Iraqi labor, environmental, and customs regulations. Import duties, VAT, and any applicable Iraqi taxes on Firefighter equipment shall be borne by the Buyer unless otherwise stipulated by Iraqi government procurement law.
