All Firefighter equipment listed in this Purchase Order shall be delivered to the Fire and Emergency New Zealand Auckland depot located at 120 Dominion Road, Ponsonby, Auckland 1011, New Zealand. Delivery must be completed no later than 08 August 2025. The supplier is responsible for all freight, insurance, and handling costs within the Auckland metropolitan region. Goods must be delivered in original manufacturer packaging with all certificates of conformity, test reports, and user manuals included. The supplier shall provide a minimum of 10 business days' written notice prior to delivery to allow the receiving Firefighter team to prepare the staging area. All items must be compliant with New Zealand regulatory standards as referenced in the specification column and must carry valid New Zealand type-approval where applicable.
- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the supplier. The supplier shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Quality Assurance: All Firefighter equipment must meet or exceed the standards specified in the line-item table. Fire and Emergency New Zealand reserves the right to reject any item that does not conform to the stated specifications. Rejected items must be replaced at the supplier's sole cost within fourteen (14) calendar days.
- Warranty: The supplier warrants all Firefighter gear and equipment for a minimum of three (3) years from the date of delivery against defects in materials and workmanship. SCBA cylinders carry a separate five-year hydrostatic test cycle as mandated by New Zealand WorkSafe regulations.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the supplier. Payment will be processed via electronic funds transfer (EFT) to the supplier's nominated New Zealand bank account. Late payment shall attract interest at the rate prescribed under the New Zealand Late Payment of Commercial Debts (Interest) Act 2002.
- Compliance: The supplier confirms that all Firefighter products are manufactured in accordance with New Zealand Health and Safety at Work Act 2015 requirements and carry appropriate CE or AS/NZS certification. The supplier shall provide all relevant documentation upon request.
- Intellectual Property & Livery: Any custom Auckland Fire Service livery, insignia, or branding applied to the Firefighter equipment under this Purchase Order remains the property of Fire and Emergency New Zealand. The supplier shall not reproduce or distribute branded items without written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters (earthquakes, volcanic activity, or severe weather events common to New Zealand Auckland), government-imposed restrictions, or supply chain disruptions. Affected parties must notify the other within 48 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved through the District Court of Auckland, New Zealand.
- Confidentiality: Both parties agree to maintain the confidentiality of pricing, operational details, and personnel information related to this Firefighter equipment procurement. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both Fire and Emergency New Zealand and the supplier.
