- Delivery: All items under this Purchase Order shall be delivered to the Houston Fire Department Central Warehouse located at 1200 Smith Street, Houston, Texas 77002, United States. Delivery must be completed no later than August 15, 2025. The supplier is responsible for all shipping, handling, and insurance costs until the goods are received and inspected by the Houston Fire Department receiving officer.
- Payment Terms: Payment shall be made net 45 days from the date of confirmed receipt and acceptance of all Firefighter equipment listed in this Purchase Order. Payment will be issued via electronic funds transfer (EFT) to the supplier's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month as stipulated by the City of Houston Finance Department.
- Quality Assurance: All Firefighter protective equipment must comply with the latest editions of NFPA standards 1801, 1971, 1981, 1999, and 1977. Each item must bear the appropriate NFPA certification label. The Houston Fire Department reserves the right to reject any Firefighter gear that does not meet the specified standards. Rejected items must be replaced at the supplier's sole expense within 14 business days.
- Warranty: The supplier shall provide a minimum 3-year manufacturer's warranty on all structural Firefighter turnout gear, SCBA units, and thermal imaging cameras. A 1-year warranty applies to all other items. Warranty claims must be submitted in writing to the Houston Fire Department Equipment Maintenance Division.
- Compliance: This Purchase Order is subject to all applicable federal, state, and local laws of the State of Texas and the City of Houston. The supplier certifies that all goods are manufactured or sourced in compliance with the Trade Agreements Act and the Buy American Act where applicable. The supplier further certifies that no Firefighter equipment listed herein has been produced using forced or child labor.
- Insurance: The supplier shall maintain comprehensive general liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as product liability insurance, for the duration of this Purchase Order and for a period of three (3) years following final delivery.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from acts of God, natural disasters (including hurricanes common to the Houston, Texas region), government actions, or other events beyond reasonable control, provided that the affected party notifies the other in writing within 5 business days.
