This Purchase Order is issued by Andes Infrastructure & Development S.A. to engage the services of a qualified Geologist, Dr. Ricardo Fernández Alarcón, for the execution of a comprehensive geological survey, subsurface characterization, and environmental risk assessment for a mixed-use commercial development project located in the city of Buenos Aires, Argentina. The Geologist shall perform all fieldwork, laboratory coordination, and technical reporting in accordance with Argentine national standards (IRAM) and the specific requirements outlined in this Purchase Order.

Payment for the services rendered under this Purchase Order shall be made in Argentine Pesos (ARS) via bank transfer to the account designated by the Geologist vendor. The payment schedule is as follows:
- 30% advance payment (ARS 7,412,460) upon execution of this Purchase Order and receipt of a valid invoice (Factura A) from Fernández Geología Consultiva S.R.L.
- 40% progress payment (ARS 9,883,280) upon completion and acceptance of all fieldwork and borehole drilling activities in Buenos Aires, Argentina, confirmed by a signed field completion certificate.
- 30% final payment (ARS 7,412,460) upon delivery and formal acceptance of the Final Geological Report and all supporting documentation.
All payments are due within fifteen (15) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Banco de la Nación Argentina for overdue commercial obligations.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between Andes Infrastructure & Development S.A. and the Geologist service provider for the scope of work described herein. All work shall be performed in the jurisdiction of Buenos Aires, Argentina, in compliance with the Argentine Civil and Commercial Code (Ley 26994) and applicable provincial regulations.
- The Geologist shall maintain valid professional liability insurance (Seguro de Responsabilidad Civil Profesional) with a minimum coverage of ARS 50,000,000 for the entire duration of the project in Buenos Aires, Argentina. A certificate of insurance shall be provided prior to commencement of fieldwork.
- All geological data, borehole logs, laboratory results, and the Final Report produced under this Purchase Order shall be the exclusive property of Andes Infrastructure & Development S.A. The Geologist shall not disclose, publish, or share any project-specific data with third parties without prior written consent.
- The Geologist shall comply with all environmental regulations of the City of Buenos Aires (CABA) and the Province of Buenos Aires, including but not limited to waste disposal of drilling cuttings, groundwater protection protocols, and noise and vibration limits during field operations.
- Any changes to the scope of work, additional boreholes, or extended laboratory testing beyond what is specified in this Purchase Order shall require a written Change Order signed by both parties prior to execution.
- The Geologist shall provide a minimum of ten (10) business days' written notice for any anticipated delays in the project timeline in Buenos Aires, Argentina, along with a revised schedule and mitigation plan.
- Disputes arising from this Purchase Order shall be resolved through binding arbitration in accordance with the rules of the Argentine Chamber of Commerce (Cámara de Comercio Argentina), with the seat of arbitration in Buenos Aires, Argentina.
- This Purchase Order is governed by the laws of the Argentine Republic. The courts of the Federal Capital of Buenos Aires shall have exclusive jurisdiction for any matters not subject to arbitration.
