This Purchase Order is issued by Queensland Geological Survey & Environmental Consulting Pty Ltd (hereinafter referred to as the "Purchaser") to engage the services of a qualified Geologist for the purpose of conducting comprehensive geological survey, site assessment, and environmental earth science investigations within the metropolitan and regional areas of Brisbane, Queensland, Australia. The Geologist shall perform all duties in accordance with the Australian Standards for geological investigation (AS 2187) and the Queensland Building and Construction Commission (QBCC) regulatory requirements applicable to the State of Queensland.

The Geologist shall commence fieldwork no later than 1 July 2025 and shall complete all deliverables, including the final Geological Investigation Report, by 30 September 2025. All work shall be conducted within the boundaries of the City of Brisbane and the adjacent local government areas of Moreton Bay, Redland, and Logan, as specified in the project brief. Interim progress reports shall be submitted to the Purchaser on a fortnightly basis. Any delays attributable to adverse weather conditions in the Brisbane region (including cyclonic events or extreme rainfall) shall be subject to a mutually agreed extension of time, provided written notice is given within 48 hours of the event.
- Professional Standards: The Geologist shall perform all services in a professional and workmanlike manner, in strict compliance with the Code of Ethics of the Australian Institute of Geoscientists (AIG) and the Queensland Professional Engineers Association (QPEA) guidelines where applicable. The Geologist warrants that all geological interpretations, classifications, and recommendations contained in the deliverables shall be accurate, current, and based on sound scientific methodology.
- Insurance: The Geologist shall maintain, at their own cost, a minimum of $10,000,000 in Professional Indemnity Insurance and $20,000,000 in Public Liability Insurance, with the Purchaser named as an additional insured party. Certificates of insurance shall be provided prior to the commencement of any fieldwork in Brisbane.
- Intellectual Property: Upon full and final payment under this Purchase Order, all geological data, maps, reports, and intellectual property generated by the Geologist in the course of this engagement shall become the sole property of the Purchaser. The Geologist shall not reproduce, publish, or distribute any portion of the deliverables without prior written consent.
- Payment Schedule: Payment shall be made in accordance with the following milestones: 25% upon execution of this Purchase Order; 35% upon completion of field geological mapping and sample collection; 30% upon submission of the draft Geological Investigation Report; and 10% upon acceptance of the final report. All payments shall be made by electronic funds transfer (EFT) to the bank account nominated by the Geologist.
- Regulatory Compliance: The Geologist shall ensure that all field activities comply with the Queensland Environmental Protection Act 1994, the Queensland Mining and Petroleum Act 1991 (where subsurface investigation is required), and all applicable Brisbane City Council development and environmental permit conditions. Any required permits or approvals shall be obtained by the Geologist at their own cost unless otherwise agreed in writing.
- Confidentiality: The Geologist acknowledges that they may have access to commercially sensitive and proprietary geological data pertaining to the Purchaser's clients and the Brisbane metropolitan area. The Geologist shall treat all such information as strictly confidential and shall not disclose it to any third party without the express written permission of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination by the Purchaser for convenience, the Geologist shall be compensated for all work completed and reasonable, documented expenses incurred up to the date of termination. In the event of termination due to the Geologist's material breach, the Purchaser shall be entitled to recover all costs incurred as a result of the breach.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia. Any disputes arising under or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Queensland, with the primary venue being the Brisbane District Court.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters (floods, cyclones, earthquakes) affecting the Brisbane region, acts of government, or pandemics, provided that the affected party gives prompt written notice and uses reasonable endeavours to mitigate the impact.
This Purchase Order is issued and authorised by the undersigned on behalf of Queensland Geological Survey & Environmental Consulting Pty Ltd. Acceptance of this Purchase Order by the Geologist shall constitute a binding agreement for the provision of geological services in Brisbane, Australia, as described herein.
