This Purchase Order is issued by TerraScope Geotechnical Solutions Pty Ltd (hereinafter referred to as the "Purchaser") to engage the services of a qualified Geologist for the purpose of conducting comprehensive geological survey, site assessment, and environmental geology reporting for the proposed mixed-use development project located in the inner metropolitan region of Australia Melbourne. This Purchase Order constitutes a binding agreement upon acceptance by the Geologist and signature by both parties.

- Qualification Requirement: The Geologist engaged under this Purchase Order must hold a minimum of a Bachelor of Science in Geology or Geoscience from an accredited Australian university, possess a minimum of ten (10) years of professional experience in Australian geological surveying, and maintain current registration with Geoscience Australia. The Geologist must also hold a valid Professional Indemnity Insurance policy with a minimum cover of AUD 10,000,000.
- Compliance: All geological work conducted under this Purchase Order in Australia Melbourne shall comply with the Victorian Building Act 1993, the Environmental Protection Act 1970 (Vic), and all applicable Australian Standards including AS 1289 (Soil Investigation) and AS 2870 (Residential Slabs and Footings).
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Geologist. Invoices shall be submitted monthly in arrears. The Purchaser reserves the right to withhold payment for any deliverables not meeting the specifications outlined in this Purchase Order.
- Deliverables: All reports, maps, and data produced by the Geologist shall be delivered in both digital (PDF and GIS-compatible formats) and hard copy (three copies) to the Purchaser's office in Australia Melbourne within fourteen (14) business days of fieldwork completion.
- Intellectual Property: All geological data, reports, and findings generated under this Purchase Order shall become the sole property of TerraScope Geotechnical Solutions Pty Ltd upon full payment. The Geologist shall not reuse, publish, or distribute any project-specific data without written consent.
- Confidentiality: The Geologist agrees to maintain strict confidentiality regarding all site-specific geological information, client details, and project parameters associated with this Purchase Order in Australia Melbourne. This obligation shall survive the termination of this agreement for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Geologist shall be compensated for all services rendered and expenses incurred up to the date of termination, subject to the terms of this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia Melbourne, and the Commonwealth of Australia. Any disputes shall be resolved through the Victorian Civil and Administrative Tribunal (VCAT) or the Supreme Court of Victoria.
- Health and Safety: The Geologist shall comply with all occupational health and safety requirements under the Occupational Health and Safety Act 2004 (Vic) and shall provide a valid White Card and site-specific induction prior to commencing any fieldwork in Australia Melbourne.
This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. By signing below, the Geologist acknowledges and accepts all terms, conditions, and scope of work as specified in this Purchase Order for the geological services to be performed in Australia Melbourne.
