2. SCOPE OF WORK & LINE ITEMS

This Purchase Order is issued to engage the services of a qualified Geologist and associated geological field team to perform a comprehensive subsurface investigation, geological mapping, and environmental risk assessment for the proposed mixed-use development project located in the central district of Belgium Brussels. The Geologist shall comply with all applicable Belgian federal and Brussels-Capital Region regulations, including the Decree on Environmental Impact Assessment and the Royal Decree on Soil Remediation.

3. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be submitted to the competent courts of Belgium Brussels (Brussels Judicial District).
  2. Qualification of the Geologist: The Lead Geologist, Dr. Margarete Van den Berg, must hold a valid professional license issued by the Belgian Royal Commission for Geologists and must maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim throughout the duration of the contract. A copy of the insurance certificate shall be provided prior to the commencement of fieldwork in Belgium Brussels.
  3. Regulatory Compliance: All geological survey activities conducted within the Belgium Brussels municipality shall comply with the Brussels-Capital Region Environmental Code, the Federal Decree on the Protection of Groundwater, and any applicable permits obtained from the Brussels City Planning Office. The Geologist is responsible for ensuring that all field personnel hold the necessary safety certifications for subsurface work in an urban environment.
  4. Timeline: The Geologist shall complete all fieldwork within 8 weeks of the start date (01 July 2025) and shall deliver the final Geological Risk Assessment Report no later than 12 weeks from the start date. Delays exceeding 10 business days without written justification may result in a penalty of 0.5% of the total contract value per day of delay.
  5. Payment Schedule: 30% advance payment upon signature of this Purchase Order; 50% upon completion of fieldwork and submission of interim borehole logs; 20% upon acceptance of the final report by the Brussels Metropolitan Development Authority. All invoices shall reference this Purchase Order number (BB-2025-04782) and shall be issued in EUR to the IBAN specified above.
  6. Intellectual Property: All geological data, reports, maps, and analyses produced under this Purchase Order shall become the exclusive property of the Brussels Metropolitan Development Authority upon full payment. The Geologist retains the right to use anonymized data for academic publication with prior written consent.
  7. Confidentiality: The Geologist and all subcontractors shall treat all site-specific data, environmental findings, and project details as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  8. Termination: Either party may terminate this Purchase Order with 14 days' written notice in the event of material breach. In the event of termination for convenience by the Authority, the Geologist shall be compensated for all work completed and documented up to the date of termination.
  9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to extreme weather affecting fieldwork in Belgium Brussels, government-mandated work stoppages, or natural geological hazards discovered during the survey.
  10. Health, Safety & Environment: The Geologist shall ensure full compliance with Belgian occupational health and safety regulations (Code du Travail) and shall provide a site-specific safety plan prior to the commencement of any subsurface drilling or excavation activity in the Belgium Brussels project area.
