The Geologist shall provide expert geological analysis, field sampling, laboratory coordination, and comprehensive technical reporting in accordance with Brazilian regulatory standards established by IBAMA, ANM (Agência Nacional de Mineração), and the state environmental agency INEA (Instituto Estadual do Ambiente).

The scope of work encompasses the geological investigation of a 120-hectare industrial development site located in the municipality of Rio de Janeiro, state of Rio de Janeiro, Brazil. The Geologist is responsible for identifying lithological formations, assessing slope stability, mapping fault lines, evaluating groundwater contamination risks, and producing a final geological feasibility report suitable for submission to municipal planning authorities in Rio de Janeiro.

4. Payment Terms

• Advance Payment (30%): R$ 67,590.00 due within 10 business days of Purchase Order acceptance, to be transferred via TED (Transferência Eletrônica Disponível) to the Geologist's registered bank account in Brazil.
• Progress Payment (40%): R$ 90,120.00 payable upon completion and acceptance of all fieldwork activities in Rio de Janeiro, including borehole drilling and hydrogeological sampling.
• Final Payment (30%): R$ 67,590.00 payable within 15 business days of delivery and formal acceptance of the final geological report and all supporting documentation.
• All payments are subject to the issuance of a valid Nota Fiscal (NF-e) by the Geologist's firm in accordance with Brazilian tax regulations.
• Late payments shall incur a penalty of 1% per month plus SELIC interest, as per Brazilian commercial law (Código Civil, Art. 406).

5. Terms and Conditions

• This Purchase Order constitutes a binding agreement between TerraFirma Geotechnical Solutions Ltda. and the contracted Geologist upon signature by both parties.
• The Geologist shall maintain full professional liability insurance (Seguro de Responsabilidade Profissional) with a minimum coverage of R$ 500,000.00 for the duration of the engagement in Rio de Janeiro, Brazil.
• All fieldwork must comply with the Occupational Safety and Health standards (NR-35 for work at heights, NR-12 for machinery) enforced by the Brazilian Ministry of Labor.
• The Geologist warrants that all data, analyses, and conclusions provided are accurate, original, and free from intellectual property infringement.
• Confidentiality: All geological data, site-specific information, and proprietary findings related to the Rio de Janeiro project shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
• Force Majeure: Neither party shall be liable for delays caused by natural disasters (including landslides, flooding, or seismic events common to the Rio de Janeiro region), government actions, or other events beyond reasonable control.
