The Geologist shall perform all duties in strict compliance with Brazilian federal and state regulations, including but not limited to the provisions of the Brazilian Geological Service (SGB), the National Environmental Council (CONAMA) resolutions, and the professional standards established by the Federal Council of Engineering and Agronomy (CONFEA/CREA-SP).

4.1 — This Purchase Order constitutes a binding agreement between TerraFirma Geotechnical Solutions Ltda. and the named Geologist for the professional services described herein. All work shall be performed within the jurisdiction of São Paulo, Brazil, and shall adhere to all applicable Brazilian federal, state, and municipal regulations governing geological and geotechnical practice.

4.2 — The Geologist warrants that all professional services rendered under this Purchase Order shall be executed with the highest degree of technical competence, in accordance with the ethical code of CREA-SP and the standards of the Brazilian Geological Society (SGB). The Geologist shall maintain full professional liability insurance with a minimum coverage of BRL 500,000.00 for the duration of the engagement.

4.3 — The Geologist shall submit a detailed work plan within five (5) business days of the acceptance of this Purchase Order. All fieldwork in the Brazil São Paulo project area shall be scheduled in coordination with the project manager and local municipal authorities where permits are required.

4.4 — Payment terms: 30% advance upon signature of this Purchase Order; 40% upon completion of fieldwork and submission of interim reports; 30% upon delivery and acceptance of the final consolidated geological report. All payments shall be made via bank transfer (TED/PIX) to the account designated by the Geologist.

4.5 — The Geologist shall comply with all occupational health and safety (OHS) requirements applicable to fieldwork in Brazil São Paulo, including the use of personal protective equipment, adherence to NR-35 (work at height) and NR-12 (machinery) norms, and coordination with the site safety officer.

4.6 — Any modification to the scope of services defined in this Purchase Order shall require a written amendment signed by both parties. Unauthorized deviations from the agreed scope in the Brazil São Paulo project area shall not be compensated.

4.7 — Disputes arising from this Purchase Order shall be resolved through arbitration in São Paulo, Brazil, in accordance with the rules of the Brazilian Arbitration Association (CAMARB), under the jurisdiction of the courts of São Paulo — SP.

By signing below, both parties acknowledge and accept all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Geologist in the Brazil São Paulo project.
