This Purchase Order is issued by GeoMontreal Engineering & Consulting Inc. to engage the services of a licensed Geologist for the Phase II geological assessment of the Saint-Laurent River corridor infrastructure project located in Canada Montreal. 1. Professional Qualification. The Geologist engaged under this Purchase Order must hold a valid professional licence issued by the Ordre des géologues du Québec (OGQ) and must maintain professional liability insurance with a minimum coverage of $5,000,000 CAD throughout the duration of the engagement in Canada Montreal.
2. Scope and Compliance. All geological investigations, sampling, testing, and reporting shall be conducted in accordance with the Canadian Geotechnical Society (CGS) standards, the Quebec Building Code (Code de la construction), and the specific technical specifications outlined in Appendix A of this Purchase Order. The Geologist shall ensure that all fieldwork in Canada Montreal complies with municipal by-laws of the Ville de Montréal and the environmental regulations of the Régie intermunicipale de basses-terres de la rivière des Prairies.
3. Schedule and Milestones. The Geologist shall commence fieldwork no later than July 1, 2025, and shall deliver the Final Geological Report by August 30, 2025. Interim progress reports shall be submitted bi-weekly to the project manager at GeoMontreal Engineering & Consulting Inc. Failure to meet the required delivery date without written approval may result in a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
4. Payment Schedule. Payment shall be made as follows: 30% upon execution of this Purchase Order; 40% upon completion of all field drilling and core sampling; 30% upon acceptance of the Final Geological Report. Invoices shall be submitted to the accounts payable department of GeoMontreal Engineering & Consulting Inc. in Canada Montreal. Payment terms are Net 30 days from the date of a valid invoice.
5. Intellectual Property. All geological data, core samples, photographs, maps, and reports generated under this Purchase Order shall become the exclusive property of GeoMontreal Engineering & Consulting Inc. upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.
6. Health, Safety, and Environment. The Geologist shall comply with all occupational health and safety requirements under the Quebec Act respecting occupational health and safety (Loi sur la santé et la sécurité du travail). A site-specific safety plan must be submitted prior to the commencement of any fieldwork in Canada Montreal.
7. Dispute Resolution. Any dispute arising from this Purchase Order shall be resolved through mediation in Canada Montreal, Quebec, in accordance with the rules of the ADR Institute of Canada. If mediation is unsuccessful, the matter shall be submitted to binding arbitration under the Arbitration Act of Quebec.
8. Governing Law. This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable in the province of Quebec, Canada Montreal.
