- This Purchase Order constitutes a binding agreement between Meridian Geological Consulting Group Inc. (hereinafter "the Client") and Dr. Eleanor M. Ashworth, P.Geo (hereinafter "the Geologist") for the provision of professional geoscience services as described in the line items above. All services shall be performed within the jurisdiction of Canada Toronto, Ontario, Canada, unless otherwise specified in writing.
- The Geologist warrants that all work performed under this Purchase Order shall be carried out in accordance with the standards established by the Ontario Professional Geologists Association (OPGA) and shall comply with all applicable federal, provincial, and municipal regulations governing geological practice in Canada Toronto.
- The Geologist shall maintain valid professional liability insurance with a minimum coverage of $5,000,000 CAD throughout the duration of this Purchase Order. A certificate of insurance shall be provided to the Client prior to the commencement of any fieldwork in Canada Toronto.
- All deliverables, including but not limited to geological reports, maps, cross-sections, and technical memoranda, shall be submitted in both hard copy (three (3) bound copies) and digital format (PDF and editable GIS files) to the Client's office at 4790 Yonge Street, Canada Toronto, within the timelines specified in the project schedule attached as Appendix A to this Purchase Order.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Geologist. Invoices must reference this Purchase Order number (PO-2025-04782) and shall be submitted to the Client's accounts payable department. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Prompt Payment and Dispute Resolution Act.
- The Geologist shall not subcontract any portion of the geological services outlined in this Purchase Order without prior written consent from the Client. Any approved subcontractor must hold a valid Professional Geologist designation in the Province of Ontario.
- All data, samples, core material, and intellectual property generated during the execution of this Purchase Order shall remain the exclusive property of the Client. The Geologist shall not reproduce, publish, or distribute any portion of the work product without express written authorization.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto prior to the initiation of any litigation proceedings.
- The Geologist shall adhere to all occupational health and safety requirements under the Ontario Occupational Health and Safety Act (OHSA) during all on-site activities conducted in Canada Toronto. A site-specific safety plan shall be submitted to the Client at least five (5) business days before the first field visit.
- This Purchase Order may be amended only by a written change order signed by both parties. No verbal modifications shall be considered valid. The total value of any amendments shall not exceed fifteen percent (15%) of the original Purchase Order amount without a formal re-approval process.
