This Purchase Order is issued by Cascadia Environmental & Geological Consulting Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of Dr. Margaret Chen, a licensed Professional Geologist registered with the Association of Professional Engineers and Geoscientists of British Columbia (APEGBC), for the purpose of conducting comprehensive geological surveys, site assessments, and environmental risk evaluations in the greater Vancouver, Canada region. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the engagement of the Geologist for the specified project scope.

4.1 Professional Qualification: The Geologist engaged under this Purchase Order must hold an active P.Geo designation with APEGBC and a minimum of fifteen (15) years of professional geological experience in British Columbia, Canada. All deliverables must be signed and sealed by the Geologist in compliance with the Professional Geoscientists Act (BC).

4.2 Compliance with Canadian Standards: All geological investigations, laboratory analyses, and reporting must conform to the Canadian Geotechnical Society (CGS) guidelines, the National Building Code of Canada (NBC), and applicable British Columbia provincial regulations, including the Environmental Management Act and the Mining Act (BC).

4.3 Work Location: All fieldwork, site visits, and on-site consultations shall be conducted within the metropolitan Vancouver, Canada area, including but not limited to the City of Vancouver, North Vancouver, West Vancouver, and the Fraser River Delta. Travel beyond a 50-kilometre radius of downtown Vancouver will be billed separately at a rate of $0.65 per kilometre.

4.4 Deliverables and Reporting: The Geologist shall submit all reports, maps, data sets, and technical memoranda in both printed and digital (PDF and GIS-compatible) formats. All deliverables must be submitted to the Buyer's project office in Vancouver, Canada, no later than the dates specified in the project schedule attached as Appendix A to this Purchase Order.

4.5 Payment Schedule: Payment shall be made in three (3) equal instalments: 30% upon execution of this Purchase Order, 40% upon completion of fieldwork and submission of interim reports, and 30% upon final acceptance of all deliverables. Invoices must reference Purchase Order number PO-2025-VC-0472.

4.6 Insurance and Liability: The Geologist and Chen Geological & Earth Sciences Ltd. shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD and commercial general liability insurance of $2,000,000 CAD, valid throughout the term of this Purchase Order in the province of British Columbia, Canada.

4.7 Confidentiality: All geological data, site information, and proprietary findings generated under this Purchase Order shall be treated as confidential by the Geologist and shall not be disclosed to third parties without the prior written consent of the Buyer, in accordance with the Personal Information Protection Act (PIPA) of British Columbia.

4.8 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Geologist shall be compensated for all services rendered and expenses incurred up to the date of termination.

This Purchase Order becomes effective upon signature by both parties. By signing below, the Buyer authorizes the expenditure of funds as specified, and the Geologist acknowledges acceptance of all terms, conditions, and scope of work outlined in this document for the geological services to be performed in Vancouver, Canada.
