- Scope of Engagement: The Geologist and supporting geological team shall perform all duties as described in this Purchase Order within the project boundaries located in China Shanghai. The Geologist shall hold a valid professional geological license issued by the China Geological Society and shall possess a minimum of ten (10) years of experience in urban geotechnical and hydrogeological investigations.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon completion of fieldwork and laboratory testing, and 30% upon delivery and approval of the final geological report. All payments shall be processed via bank transfer to the account specified above within fifteen (15) business days of invoice receipt.
- Delivery and Location: All fieldwork, equipment delivery, and on-site services shall be conducted at the designated project sites within China Shanghai, specifically along the planned alignment of Metro Line 21 in the Pudong and Baoshan districts. The vendor shall bear all transportation and logistics costs for the Geologist team and equipment to and from the China Shanghai project sites.
- Compliance and Standards: The Geologist shall ensure all geological data collection, analysis, and reporting comply with GB/T 50021 (Code for Investigation of Geotechnical Engineering), GB 50026 (Code for Investigation of Geotechnical Engineering – Urban Rail Transit), and all applicable regulations of the Shanghai Municipal Planning and Natural Resources Bureau.
- Intellectual Property: All geological data, core samples, thin sections, reports, and 3D models produced under this Purchase Order shall become the exclusive property of Shanghai GeoResources Engineering Co., Ltd. The Geologist shall not reproduce, publish, or distribute any project data without written consent.
- Health, Safety, and Environment: The Geologist and all supporting personnel shall adhere to the occupational health and safety regulations of the People's Republic of China and the specific site safety protocols of the China Shanghai Metro construction authority. Personal protective equipment shall be provided by the vendor.
- Warranty and Defects: The vendor warrants that all geological findings, laboratory results, and the final report shall be accurate and free from material defects for a period of twelve (12) months from the date of final acceptance. Any errors identified within this warranty period shall be corrected by the Geologist at no additional cost.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by natural disasters, government actions, epidemics, or other events beyond reasonable control, provided that the affected party notifies the other in writing within five (5) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
