1. This Purchase Order constitutes a binding agreement between Terra Geo Consulting S.A.S. and GeoAndes Professional Services Ltda. upon signature by both authorized representatives. All services shall be rendered in strict accordance with the scope defined herein and applicable Colombian law.
2. The Geologist engaged under this Purchase Order shall comply with all occupational health and safety regulations (SG-SST) mandated by the Colombian Ministry of Labor for fieldwork conducted in the mountainous terrain of Colombia Medellín.
3. Payment terms: 40% advance upon execution of this Purchase Order; 40% upon delivery and approval of the interim field report; 20% upon final acceptance of the completed technical report by the buyer's project team in Colombia Medellín.
4. All payments shall be made in Colombian Pesos (COP) via bank transfer to the account designated by the supplier. Invoices must reference this Purchase Order number (TGC-2025-0487) and include the supplier's NIT and RUT for tax compliance.
5. The Geologist shall deliver all reports in both Spanish and English, formatted according to the technical standards of the Colombian Geological Service (Servicio Geológico Colombiano – SGC).

8. In the event of force majeure (including but not limited to seismic events, volcanic activity, or government-mandated closures in Colombia Medellín), the affected party shall notify the other within forty-eight (48) hours, and the project timeline shall be extended accordingly.
9. This Purchase Order is governed by the commercial code of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through arbitration in the city of Colombia Medellín, in accordance with the rules of the Chamber of Commerce of Medellín.
10. The Geologist shall maintain professional liability insurance with a minimum coverage of COP 500,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
