- This Purchase Order constitutes a binding agreement between Congo Basin Geological Resources Ltd. (hereinafter "the Buyer") and Dr. Emmanuel Mbuyi Kanza, licensed Geologist (hereinafter "the Vendor"), for the provision of geological survey, consulting, and equipment supply services within the city of Kinshasa, Democratic Republic of the Congo.
- The Geologist shall perform all fieldwork in strict accordance with the geological surveying regulations established by the Ministry of Mines of the DR Congo and the professional code of ethics of the Geological Society of the Congo (Société Géologique du Congo).
- All deliverables, including but not limited to geological maps, borehole logs, mineral assay reports, and risk assessments, must be submitted to the Buyer's office in Gombe, Kinshasa, within the timelines specified in this Purchase Order.
- Payment shall be processed via bank transfer to the Vendor's account at a licensed financial institution in Kinshasa, DR Congo, within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-CDK-2025-0472).
- The Geologist warrants that all data collected, analyses performed, and reports generated shall be original, accurate, and free from intellectual property infringement. All raw data and final reports shall become the exclusive property of the Buyer upon full payment.
- Any modification to the scope of work, additional boreholes, extended fieldwork beyond the Kinshasa metropolitan area, or changes to the equipment list must be documented in a written amendment signed by both parties before execution.
- The Vendor shall maintain valid professional liability insurance with a minimum coverage of USD 250,000 for the duration of this contract, as required for geological fieldwork in the DR Congo Kinshasa region.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Kinshasa, DR Congo, in accordance with the applicable laws of the Democratic Republic of the Congo.
- This Purchase Order is governed by the commercial code of the DR Congo and the international standards for geological consulting services (ISO 14001 for environmental management of field operations).
- The Geologist shall comply with all local labor, safety, and environmental regulations applicable to geological fieldwork in Kinshasa, DR Congo, including proper disposal of chemical reagents and safe handling of core samples.
