This Purchase Order is issued by Nile Delta Geological & Engineering Services Co. to engage the above-named Geologist to perform a comprehensive geological and geotechnical investigation for the proposed multi-storey commercial development located at Plot 7, New Cairo Administrative Zone, Cairo Governorate, Egypt. The Geologist shall conduct all fieldwork, laboratory coordination, and reporting in strict accordance with Egyptian Building Code (EBC 2021), Egyptian Geological Survey standards, and the specifications outlined in the attached Scope of Work (Annex A).

  1. This Purchase Order is governed by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code and the Egyptian Petroleum & Mineral Resources Law No. 193 of 2014 as amended.
  2. The Geologist shall maintain valid professional licensure issued by the Egyptian Geological Survey & Mining Authority throughout the duration of this engagement and shall provide proof of insurance (professional liability, minimum EGP 5,000,000) prior to commencing fieldwork in Egypt Cairo.
  3. All geological data, core samples, and reports produced under this Purchase Order shall remain the exclusive property of NDGES. The Geologist shall not disclose, publish, or share any site-specific findings pertaining to the Egypt Cairo project without prior written consent.
  4. Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of all fieldwork in Egypt Cairo, and 30% upon acceptance of the final Geological Report. Payments shall be processed via bank transfer to the account specified by the Geologist in Egypt.
  5. The Geologist is responsible for obtaining all necessary local permits from the Cairo Governorate, the Egyptian Environmental Affairs Agency (EEAA), and the Ministry of Housing and Urban Development prior to initiating any drilling or geophysical activities in the Egypt Cairo site area.
  6. Any change in scope, additional boreholes, or extended fieldwork in the Egypt Cairo region shall require a written Change Order signed by both parties before execution. No verbal modifications to this Purchase Order shall be binding.
  7. In the event of force majeure (including but not limited to extreme weather events affecting the Nile Delta region, government-mandated work stoppages in Egypt Cairo, or civil unrest), the affected party shall notify the other within 48 hours, and the project schedule shall be extended accordingly.
  8. Disputes arising from this Purchase Order shall be resolved through arbitration in Cairo, Egypt, in accordance with the rules of the Egyptian Arbitration Centre, and the proceedings shall be conducted in Arabic with English translations provided for all technical geological documentation.
  9. The Geologist shall comply with all occupational health and safety regulations as enforced by the Egyptian Ministry of Manpower and Social Solidarity during all field operations conducted in and around Egypt Cairo.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Geologist to deliver geological services for the project located in Egypt Cairo. This document constitutes a binding commercial agreement effective from the date of the last signature.
