This Purchase Order is issued by Société Lyonnaise d'Infrastructure & BTP S.A. (hereinafter referred to as the "Buyer") to engage the services of a qualified and certified Geologist, Dr. Émile Vasseur, for the execution of comprehensive geological survey, site characterization, and subsurface risk assessment work in the Confluence District of France Lyon. The Geologist shall provide all technical expertise, field investigation, laboratory coordination, and reporting services as detailed in the line items below. This Purchase Order constitutes a binding agreement for the scope of geological work described herein and shall be governed by the laws of the French Republic.

- Qualification of the Geologist: The Geologist engaged under this Purchase Order must hold a minimum of a Master's degree in Geology or Geotechnical Engineering from a recognized French or European university, be registered with the Ordre des Géologues de France, and possess a valid professional liability insurance policy with a minimum coverage of 1,000,000 EUR. A copy of the registration certificate and insurance policy shall be provided to the Buyer prior to the commencement of fieldwork in France Lyon.
- Compliance with French Regulations: All geological survey activities conducted in France Lyon shall comply with the French Environmental Code (Code de l'environnement), the applicable urban planning regulations of the Métropole de Lyon, and any specific permits required by the DREAL Auvergne-Rhône-Alpes. The Geologist is responsible for obtaining all necessary fieldwork authorizations.
- Health, Safety, and Environment (HSE): The Geologist shall adhere to all HSE protocols established by the Buyer for the France Lyon project site, including mandatory PPE, site induction training, and daily safety briefings. Any safety incident must be reported to the Buyer within 24 hours.
- Intellectual Property: All data, reports, maps, and deliverables produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent from the Buyer.
- Confidentiality: The Geologist agrees to maintain strict confidentiality regarding all subsurface data, site-specific geological information, and project details pertaining to the France Lyon location. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of all fieldwork (boreholes, geophysics, and hydrogeological monitoring), and 30% upon delivery and acceptance of the final Geological Report. Invoices shall be issued in EUR and paid via SEPA transfer to the account specified by the Geologist.
- Delays and Penalties: In the event of unjustified delay in the delivery of any milestone, the Geologist shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to extreme weather events affecting the Rhône river basin in France Lyon, government-mandated work stoppages, or natural geological hazards discovered during the survey.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to the competent commercial court of Lyon, France.
- Amendments: Any modification to the scope, schedule, or pricing of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements regarding the Geologist's services in France Lyon shall not be binding.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of the Geologist in France Lyon. This document, once countersigned, constitutes a legally binding contract under French civil law (Code civil, Articles 1101–1104).
