2. Project Description and Scope of Work
This Purchase Order is issued by Provence Infrastructure Development S.A. to engage the services of a qualified Geologist for comprehensive geological survey, risk assessment, and environmental compliance work related to the construction of the new Marseille Harbour Expansion Terminal (Phase II). The Geologist shall conduct all fieldwork, laboratory analysis, and reporting activities within the administrative boundaries of France Marseille, specifically within the 13008 and 13002 postal districts adjacent to the Port de Marseille-Fos corridor.
The scope of work includes, but is not limited to: subsurface geological mapping of the 12-hectare construction site; identification and classification of rock strata, sedimentary layers, and potential fault lines; assessment of seismic vulnerability in accordance with the French seismic zoning regulations (Code de la Construction et de l'Habitation, Article R575-1); groundwater contamination evaluation; and preparation of a full geological risk report compliant with the French Ministry of Ecological Transition guidelines. The Geologist is expected to coordinate with the local Direction Régionale de l'Environnement, de l'Aménagement et du Logement (DREAL) Provence-Alpes-Côte d'Azur office to ensure all findings are reported in the prescribed format for France Marseille municipal planning authorities.

4. Delivery and Site Access
All fieldwork and deliverables under this Purchase Order shall be executed at the project site located at Quai de la Joliette, 13002 Marseille, France. The Geologist shall report to the site office no later than 07:30 CET on each scheduled working day. Access to the site is subject to the safety induction protocol established by Provence Infrastructure Development S.A. All equipment, sampling tools, and laboratory consumables required by the Geologist shall be provided by the vendor unless otherwise specified in the line items above. Final reports and digital data sets shall be delivered to the project manager's office in Marseille within ten (10) business days of completion of each phase.
5. Payment Terms
- Payment shall be made by bank transfer (virement bancaire) to the account designated by the Geologist within thirty (30) calendar days of receipt of a valid invoice.
- A mobilisation advance of 20% (€32,008.80) shall be paid upon signature of this Purchase Order and confirmation of the Geologist's professional insurance certificate.
- Progress payments of 30% shall be issued upon completion and acceptance of the borehole drilling and laboratory analysis phases (Line Items 02 and 03).
- The remaining balance shall be due upon final acceptance of the geological risk report and successful submission to the DREAL Provence-Alpes-Côte d'Azur authority in France Marseille.
- Late payments shall accrue interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
6. Terms and Conditions
- This Purchase Order is governed by the laws of the French Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille.
- The Geologist warrants that all findings, interpretations, and recommendations shall be provided with the full professional diligence expected of a certified geological practitioner registered in France.
- The vendor shall comply with all applicable French environmental regulations, including the Code de l'Environnement, and all local bylaws of the Ville de Marseille regarding noise, dust, and site disturbance during fieldwork.
- Confidentiality: All geological data, site plans, and proprietary information obtained in the course of this engagement shall remain the exclusive property of Provence Infrastructure Development S.A. The Geologist shall not disclose any project-specific data to third parties without prior written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated site closures, or public health emergencies affecting the France Marseille region.
- The Geologist shall maintain valid professional liability insurance throughout the duration of the contract and shall provide a certificate upon request.
- This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications are not binding.
7. Acceptance and Signatures
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Geologist in connection with the Marseille Harbour Expansion Terminal project in France Marseille.
