- Scope and Compliance: The Geologist engaged under this Purchase Order shall perform all services in strict accordance with French national regulations, the European Union Environmental Impact Assessment Directive (2014/52/EU), and the professional code of ethics established by the Ordre des Géologues. All fieldwork conducted within France Paris must obtain prior authorization from the Mairie de Paris and relevant arrondissement authorities.
- Qualification Requirements: The principal Geologist must hold a minimum of a Doctorate (Ph.D.) or equivalent in Geology, Geotechnical Engineering, or a closely related discipline, and must maintain active registration with the Ordre des Géologues. A minimum of ten (10) years of professional experience in urban geological surveying within metropolitan France is required.
- Delivery and Reporting: All deliverables, including geological maps, borehole logs, risk assessment reports, and compliance dossiers, shall be submitted in both French and English. Digital deliverables shall be provided in PDF/A and GIS-compatible formats (Shapefile, GeoTIFF). The final report must be delivered no later than 30 days following the completion of all fieldwork in France Paris.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of all fieldwork (Items 01–03), and 30% upon acceptance of the final compliance report (Item 04). All payments shall be made via SEPA bank transfer to the account designated by the vendor. Payment terms are Net 30 days from invoice date, in accordance with French commercial law (Code de commerce, Article L441-10).
- Insurance and Liability: The Geologist and the vendor firm shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000, valid throughout the duration of the engagement in France Paris. A certificate of insurance shall be provided prior to the commencement of any fieldwork.
- Intellectual Property: All geological data, maps, reports, and analyses produced under this Purchase Order shall become the exclusive property of GeoSolutions International S.A.R.L. upon full payment. The Geologist retains the right to reference the project in professional publications, subject to prior written approval from the buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Geologist shall be compensated for all services rendered up to the date of termination, plus reasonable demobilization costs. Termination for cause (material breach, failure to meet regulatory standards in France Paris) may be effected immediately upon written notice.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France.
- Health, Safety, and Environment (HSE): The Geologist shall comply with all French occupational health and safety regulations (Code du travail) during fieldwork in France Paris. A site-specific HSE plan shall be submitted prior to the commencement of borehole operations.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions within France Paris, or pandemics, provided that the affected party notifies the other within five (5) business days.
