The Geologist is expected to mobilize on-site no later than 1 July 2025 and shall complete all deliverables by 30 August 2025. Any extension of the timeline must be approved in writing by the issuing company prior to commencement of additional work.

5.1 This Purchase Order constitutes a binding agreement between Berlin Geotechnical Infrastructure GmbH and the named Geologist / consulting firm upon signature by both parties. All services shall be performed in full compliance with German commercial law (HGB) and the applicable provisions of the German Civil Code (BGB).

5.2 The Geologist warrants that all findings, interpretations, and recommendations contained in the deliverables shall be accurate, based on recognized geological methodology, and free from professional negligence. The Geologist shall carry professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 2,000,000 per claim, valid throughout the duration of the contract and for a further two (2) years thereafter.

5.3 Payment shall be made via bank transfer to the account specified on the vendor's invoice within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under § 288 BGB.

5.4 The Geologist shall comply with all data protection requirements under the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG) for any personal data encountered during the course of the project in Germany Berlin.

5.5 Intellectual property rights in all reports, maps, and data produced under this Purchase Order shall vest in Berlin Geotechnical Infrastructure GmbH upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.

5.6 Disputes arising from this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive court of jurisdiction shall be the competent court in Berlin, Germany Berlin.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Geologist for geological services in Germany Berlin.
