This Purchase Order is issued by AlpenGeo Engineering & Consulting GmbH to formally engage the services of a qualified Geologist for the comprehensive geological survey and geotechnical assessment of the Munich metropolitan area. - Performance Location: All services under this Purchase Order shall be performed in and around Munich, Germany. The Geologist is responsible for obtaining any necessary local permits from the Landeshauptstadt München for field access and drilling operations.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice. Invoices must reference this Purchase Order number (AG-2025-04782). Payment shall be processed via SEPA bank transfer to the account specified in Section 1.
- Quality Assurance: The Geologist shall ensure all deliverables comply with DIN, EN, and ISO standards applicable to geological engineering in Germany. A quality review meeting shall be held at the 50% project milestone in Munich.
- Intellectual Property: All geological data, maps, core samples, and reports produced under this Purchase Order shall become the exclusive property of AlpenGeo Engineering & Consulting GmbH upon full payment.
- Confidentiality: The Geologist agrees to maintain strict confidentiality regarding all subsurface data, client project details, and proprietary information encountered during the engagement in Munich, Germany, for a period of five (5) years following project completion.
- Insurance: The Geologist shall maintain professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 2,000,000 per claim, valid throughout the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Geologist shall be compensated for all services rendered up to the termination date, plus reasonable demobilization costs.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government restrictions, or public health emergencies affecting operations in Munich, Germany.
