This Purchase Order is issued by Deccan Infrastructure & Development Pvt. 1. The Geologist engaged under this Purchase Order shall hold a valid membership with the Geological Society of India and possess a minimum of ten (10) years of professional experience in geological and geotechnical consulting in India, with a demonstrated track record of projects in the Bangalore and Karnataka region.
2. All geological surveys, borehole investigations, and site assessments shall be conducted strictly within the project boundaries located in Bangalore, Karnataka, India, and in full compliance with the Karnataka Mining and Minerals Act, the Environmental Protection Act, 1986, and all applicable regulations of the Central Ground Water Authority (CGWA), Government of India.
3. The Geologist shall submit a detailed project methodology and work schedule within seven (7) calendar days of the acceptance of this Purchase Order. All fieldwork shall be completed within a period of ninety (90) calendar days from the date of commencement.
4. Payment shall be made in three (3) milestones: 30% upon acceptance of this Purchase Order, 40% upon completion of all field investigations and borehole work, and 30% upon submission and acceptance of the final consolidated geological report by the buyer's project team in Bangalore.
5. The vendor shall bear all costs associated with mobilization of geological survey equipment, laboratory testing fees, transportation within Bangalore and its surrounding districts, and any permits required from the Bangalore Urban Development Authority (BUDA) or the Karnataka State Pollution Control Board.
6. All data, core samples, photographs, and reports generated under this Purchase Order shall remain the exclusive intellectual property of Deccan Infrastructure & Development Pvt. Ltd., Bangalore, India. The Geologist shall not disclose, publish, or share any project-specific geological data with third parties without prior written consent.
7. In the event of force majeure, including but not limited to monsoon-related flooding in the Bangalore region, government-imposed restrictions, or natural disasters, the timeline of this Purchase Order shall be extended proportionally, and both parties shall negotiate in good faith.
8. This Purchase Order is governed by the laws of India, and any disputes arising therefrom shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
9. The Geologist shall maintain adequate professional indemnity insurance coverage of not less than INR 50,00,000 (Fifty Lakh Rupees) for the duration of the engagement, valid in India.
10. This Purchase Order shall become effective upon countersignature by both parties and shall remain valid until the completion of all deliverables and final payment, or until 15 July 2025, whichever is earlier.
