This Purchase Order is issued by Alborz Geological Survey & Mining Development Co., Ltd. to formally engage the services of a qualified Geologist and associated field team for the comprehensive geological assessment, mineral exploration, and environmental impact study of the designated mining concession area located in the Alborz Mountain Range, northern Iran Tehran Province. The Geologist shall be responsible for all technical deliverables as outlined in the line items below. All fieldwork, laboratory coordination, and reporting shall be conducted in and around Iran Tehran and its surrounding geological zones in full compliance with the regulations of the Iranian Geological Survey and the Ministry of Industry, Mine and Trade of the Islamic Republic of Iran.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran under the rules of the Tehran International Arbitration Center.
- Geologist Qualifications: The Lead Geologist and all supporting geological personnel must hold valid professional licenses issued by the Iranian Geological Survey Authority and possess a minimum of ten (10) years of documented field experience in structural, economic, and environmental geology within the Iranian geological context.
- Service Location: All fieldwork, laboratory analysis coordination, and on-site inspections under this Purchase Order shall be conducted within the designated concession boundaries in Iran Tehran Province. The Geologist shall coordinate with local municipal and provincial authorities in Tehran as required for access permits and environmental clearances.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of fieldwork and submission of the preliminary geological report, and 30% upon final acceptance of all deliverables by the Buyer's technical committee in Iran Tehran.
- Deliverables: The Geologist shall submit all reports, maps, data sets, and presentations in both Persian (Farsi) and English. Digital copies shall be provided in standard geological formats (GIS shapefiles, GeoPackage, and PDF) to the Buyer's office in Tehran within five (5) business days of fieldwork completion.
- Compliance: The service provider shall comply with all applicable Iranian environmental regulations, mining codes, and occupational health and safety standards. The Geologist shall ensure that all sampling and drilling activities in Iran Tehran Province adhere to the Iranian Environmental Protection Agency guidelines.
- Confidentiality: All geological data, mineral resource estimates, and proprietary information generated under this Purchase Order shall remain the exclusive property of the Buyer. The Geologist and all associated personnel shall sign a non-disclosure agreement prior to commencing work in Iran Tehran.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Geologist shall deliver all completed work product to the Buyer, and payment shall be made proportionally for services rendered up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions in Iran Tehran, or other events beyond reasonable control, provided that written notice is given within seven (7) days of the event.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work defined in this Purchase Order for the engagement of the Geologist and geological services in Iran Tehran. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
