- This Purchase Order constitutes a binding agreement between the Buyer and the Geologist (Service Provider) upon signature by both parties. All services shall be rendered in Tel Aviv, Israel, unless otherwise agreed in writing.
- The Geologist shall hold a valid professional license issued by the Israel Geological Survey and shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000 for the duration of the engagement.
- Payment terms: 30% advance upon acceptance of this Purchase Order; 40% upon completion of fieldwork and borehole supervision; 30% upon delivery and acceptance of the final geological report. All payments shall be made via bank transfer to the account specified by the Geologist.
- The Geologist shall deliver all interim and final reports in both Hebrew and English. The final report shall be submitted to the Buyer's office in Tel Aviv no later than 45 calendar days from the date of this Purchase Order.
- All geological data, core samples, and field notes generated under this Purchase Order shall become the property of the Buyer upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.
- Any change in scope, additional boreholes, or extended fieldwork in Tel Aviv, Israel shall require a written amendment to this Purchase Order signed by both parties before execution.
- Disputes arising from this Purchase Order shall be governed by the laws of the State of Israel and shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- The Geologist shall comply with all applicable Israeli environmental regulations, occupational health and safety standards (OSHA Israel), and municipal permits required for drilling and fieldwork in the Tel Aviv-Yafo municipality.
- This Purchase Order is valid for 90 days from the date of issue. Failure to execute within this period shall render the Purchase Order null and void unless extended in writing.
