3.1 Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice from the Seller. Payment shall be processed via bank transfer to the account designated by Vesuvius GeoScience Partners S.r.l. All transactions are governed by the fiscal regulations of the Italian Republic, and the applicable VAT rate of 22% shall be applied as per current legislation in Italy Naples and the broader Campania region.
3.2 Delivery and Performance: The Geologist and the associated technical team shall commence fieldwork no later than 1 July 2025. All deliverables, including geological maps, borehole logs, laboratory analyses, and the final comprehensive report, shall be submitted to the Buyer's office in Naples, Italy, within the timelines specified in Section 2 of this Purchase Order.
3.3 Professional Qualifications: The Lead Geologist, Prof. Andrea De Luca, and all supporting geologists engaged under this Purchase Order must hold valid registration with the Italian Order of Geologists (Ordine dei Geologi) and possess a minimum of ten (10) years of professional experience in geological surveying, hazard assessment, and environmental consulting within the Italian territory.
3.4 Compliance and Permits: The Seller shall be solely responsible for obtaining all necessary permits, environmental authorizations, and access clearances required to conduct geological fieldwork in the protected areas of Naples, Italy, including the Vesuvius National Park and the marine protected zones of the Bay of Naples. All activities must comply with Italian Legislative Decree 152/2006 and subsequent amendments.
3.5 Intellectual Property: All geological data, reports, GIS layers, and analytical results produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Geologist and the Seller retain the right to reference the project in academic publications, provided that confidential client data is redacted.
3.6 Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from volcanic activity, seismic events, or other natural phenomena specific to the Italy Naples region, provided that the affected party notifies the other in writing within 48 hours of the event.
3.7 Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Naples, Italy, in accordance with the Italian Civil Code. Both parties agree to attempt mediation before initiating formal legal proceedings.
3.8 Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not accepted and signed by the Seller within this period, the Purchase Order shall automatically lapse and require reissuance.
