- 4.1 – This Purchase Order constitutes a binding agreement between GeoRome Consulting S.r.l. (hereinafter "the Client") and the Geologist, Dr. Elena Marchetti (hereinafter "the Service Provider"), for the provision of geological and geotechnical services exclusively within the administrative boundaries of the City of Rome, Italy (Comune di Roma, Regione Lazio).
- 4.2 – The Geologist shall maintain valid professional liability insurance (RC Professionale) with a minimum coverage of €1,000,000 per occurrence, registered with an insurer authorized to operate in Italy, for the entire duration of this Purchase Order.
- 4.3 – All deliverables, including geological maps, borehole logs, seismic reports, and the formal Relazione Geologica, shall be submitted in both Italian and English, in PDF and editable CAD/GIS formats, to the Client's project office in Rome, Italy, within the timelines specified in the attached project schedule.
- 4.4 – Payment terms: 30% advance upon acceptance of this Purchase Order; 40% upon submission and approval of the interim geological reports; 30% upon final delivery and sign-off of all documents. Payments shall be made via bank transfer (bonifico bancario) to the Service Provider's Italian bank account within 30 days of invoice receipt, in compliance with Italian commercial law (Codice Civile, Art. 1181 et seq.).
- 4.5 – The Geologist warrants that all fieldwork, sampling, and laboratory analyses shall be conducted in full compliance with Italian environmental regulations (D.Lgs. 152/2006 – Environmental Code), the Lazio Regional environmental permits, and the specific site access agreements negotiated with the relevant property owners in Rome, Italy.
- 4.6 – Any modification to the scope of geological services, change of site location within Rome, Italy, or extension of the project timeline must be documented through a formal amendment to this Purchase Order, signed by both parties.
- 4.7 – Disputes arising from this Purchase Order shall be resolved through binding arbitration seated in Rome, Italy, in accordance with the rules of the Camera di Commercio di Roma, with proceedings conducted in the Italian language.
- 4.8 – This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Italian Republic. The exclusive jurisdiction for any legal proceedings shall be the Tribunale di Roma, Italy.
By signing below, both parties acknowledge and accept all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Geologist in Rome, Italy. This document is valid for a period of ninety (90) days from the date of issue, after which it shall expire unless renewed in writing.
