This Purchase Order is issued by Sahel Geological Resources Ltd. to formally engage the services of a qualified Geologist and associated geological survey team for the execution of subsurface geological mapping, mineral resource assessment, and environmental baseline studies within the Abidjan metropolitan area and the broader southern region of Ivory Coast. The Geologist engaged under this Purchase Order shall be a licensed professional registered with the Ivorian Order of Geologists (Ordre des Géologues de Côte d'Ivoire) and shall possess a minimum of ten (10) years of field experience in West African geological formations, with particular expertise in the Precambrian basement complexes and Cretaceous sedimentary basins characteristic of the Ivory Coast Abidjan region.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ivory Coast, including the Ivorian Mining Code (Loi n° 2017-482) and the Civil Code applicable in Abidjan.
- Qualification of the Geologist: The Geologist engaged under this Purchase Order must hold a minimum of a Master's degree in Geology or a related earth science discipline from an accredited institution, and must be in good standing with the Ivorian Order of Geologists. A copy of the professional license shall be provided prior to commencement of fieldwork in Ivory Coast Abidjan.
- Project Duration: The geological survey and reporting activities shall be completed within a period of one hundred and twenty (120) calendar days from the date of acceptance of this Purchase Order. The Geologist shall submit a detailed work plan within seven (7) days of contract commencement.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon signing and acceptance of this Purchase Order; 40% upon completion of all fieldwork and borehole drilling in Ivory Coast Abidjan; and 30% upon delivery and acceptance of the final geological report. All payments shall be made via bank transfer to the account designated by TerraFirma Geological Consulting SARL.
- Health, Safety, and Environment: The Geologist and all field personnel shall comply with the Ivorian occupational health and safety regulations (Code du Travail de Côte d'Ivoire) and shall maintain valid insurance coverage for all operations conducted in the Abidjan area.
- Intellectual Property: All geological data, core samples, maps, and reports generated under this Purchase Order shall become the exclusive property of Sahel Geological Resources Ltd. upon full payment. The Geologist shall not disclose proprietary findings to third parties without written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to civil unrest, extreme weather events affecting the Ivory Coast Abidjan coastal zone, or government-imposed restrictions on geological survey activities.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Commercial Court of Abidjan, Ivory Coast, as the exclusive forum for adjudication.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Geologist shall be compensated for all work completed and documented up to the date of termination.
All physical deliverables, including core samples, field notes, and hard-copy reports, shall be delivered to the offices of Sahel Geological Resources Ltd. at Boulevard VGE, Cocody, Abidjan, Ivory Coast. Digital deliverables shall be transmitted via secure encrypted email. The Lead Geologist shall conduct a final presentation of findings to the project stakeholders at the Abidjan office no later than ten (10) business days after submission of the final report.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of geological services in Ivory Coast Abidjan. This document constitutes a binding agreement upon execution by both authorized representatives.
