This Purchase Order authorizes the engagement of a qualified Geologist to conduct comprehensive geological survey, seismic risk assessment, and environmental site characterization work within the Japan Kyoto metropolitan area and surrounding prefectural regions. - Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Supplier. The Supplier shall confirm acceptance of this Purchase Order within five (5) business days of receipt.
- Geologist Qualifications: The Geologist assigned to this engagement in Japan Kyoto must hold a minimum of a Master's degree in Geology or a related earth science discipline, possess at least ten (10) years of professional field experience, and be registered with the Japan Association of Engineering Geologists (JAEG). The Geologist must demonstrate fluency in Japanese or provide a certified interpreter at no additional cost to the Buyer.
- Performance Schedule: All fieldwork in Japan Kyoto shall commence no later than 1 July 2025 and shall be completed by 30 September 2025. The final report must be delivered within fifteen (15) business days of fieldwork completion.
- Payment: Payment shall be made in Japanese Yen (JPY) via bank transfer to the account specified by the Supplier. Invoices are due within thirty (30) days of the date of invoice. Late payments shall accrue interest at a rate of 1.5% per month.
- Intellectual Property: All data, reports, GIS layers, and analytical results produced by the Geologist in the course of this Purchase Order shall be the exclusive property of the Buyer. The Geologist and Supplier shall not publish, distribute, or disclose any Japan Kyoto-specific findings without prior written consent.
- Compliance: The Geologist shall comply with all applicable laws and regulations of Japan, including but not limited to the Act on the Protection of the Environment, the Seismic Hazard Zoning Ordinance, and all Japan Kyoto municipal building and land-use codes.
- Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of JPY 500,000,000 and workers' compensation insurance for the Geologist throughout the duration of the engagement in Japan Kyoto.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Japan Commercial Arbitration Association (JCAA), seated in Kyoto, Japan. The governing law shall be the laws of Japan.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, including earthquakes, typhoons, or volcanic activity common to the Japan Kyoto region, provided that the affected party notifies the other within forty-eight (48) hours.
The Geologist shall report to the Buyer's field office located at 7-2-1 Higashiyama, Higashiyama-ku, Japan Kyoto. Site access permits for all Japan Kyoto municipal and prefectural properties shall be coordinated by the Buyer's project manager. The Geologist is required to carry a valid work visa and residence card for Japan throughout the engagement period. All field equipment must be inspected and approved by the Buyer's safety officer prior to deployment in Japan Kyoto.
