Terms and Conditions of this Purchase Order

1. All Geologist personnel assigned under this Purchase Order must hold valid professional licenses issued or recognized by the Kuwait Ministry of Oil & Mineral Resources and must possess a minimum of five (5) years of documented field experience in the Arabian Gulf geological formations.
2. The Vendor shall ensure that every Geologist deployed to the project site in Kuwait, Kuwait City carries a valid Kuwaiti work permit, civil defense registration, and comprehensive occupational health insurance covering the full duration of the engagement.
3. Site access, safety equipment (PPE), field vehicles, and laboratory consumables required for the Geologist team to carry out their duties in Kuwait, Kuwait City shall be provided by the Buyer unless otherwise specified in writing as an amendment to this Purchase Order.
4. Payment shall be processed in Kuwaiti Dinars (KWD) via bank transfer to the Vendor's designated account within forty-five (45) calendar days of receipt of a valid, itemized invoice referencing this Purchase Order number (PO-KW-2025-04871).
5. The Vendor is required to submit a detailed mobilization plan, including the CVs and qualifications of each Geologist to be assigned, no later than ten (10) business days prior to the required delivery date. Failure to do so entitles the Buyer to cancel this Purchase Order without penalty.
6. All geological data, core samples, borehole logs, and reports generated by the Geologist team in the course of this engagement in Kuwait, Kuwait City shall remain the exclusive intellectual property of the Buyer. The Vendor shall not reproduce, publish, or disclose such data to any third party without prior written consent.
7. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be referred to the competent courts of Kuwait, Kuwait City in accordance with the Kuwaiti Civil and Commercial Code.
8. This Purchase Order is valid for a period of ninety (90) days from the date of issue. Any unaccepted Purchase Order after this period shall be considered void and of no effect.
9. The Vendor acknowledges that all work performed by the Geologist team must comply with the Kuwait Environmental Protection Authority (EPA) regulations and the Kuwait Municipality's site-specific guidelines applicable to Kuwait, Kuwait City.
