This Purchase Order authorizes the engagement of the above-named Geologist to perform comprehensive geological survey, subsurface characterization, and environmental risk assessment services for the construction of a mixed-use commercial development located in the Cuauhtémoc and Benito Juárez boroughs of Mexico Mexico City. The Geologist shall comply with all applicable regulations established by the Secretaría de Medio Ambiente y Recursos Naturales (SEMARNAT) and the local building authority of Mexico City (SOGOB).

- Payment shall be made in three (3) installments via bank transfer (SPEI) to the account designated by the Geologist:
- 30% (MXN 214,716.00) upon signing of this Purchase Order and commencement of the desktop study.
- 40% (MXN 286,288.00) upon completion of all fieldwork activities, including borehole supervision, in Mexico Mexico City.
- 30% (MXN 214,716.00) upon acceptance of the final Geological Report and successful presentation before the Mexico City review board.
- All invoices must include the vendor's RFC and be issued as a CFDI 4.0 electronic invoice compliant with SAT regulations in Mexico.
- Payment is due within fifteen (15) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Banco de México for overdue obligations.
- The Geologist is responsible for all applicable withholding taxes (ISR) as per Mexican fiscal law. The buyer shall withhold 2.1% ISR on each payment and issue the corresponding CFDI de retenciones.
All field activities, site visits, and on-site presentations under this Purchase Order shall be conducted at the project site located at Calle Durango 145, Col. Roma Norte, 06700 Mexico Mexico City, México, and at the offices of the buyer in the same city. The Geologist shall bear all travel, lodging, and transportation costs within Mexico Mexico City unless otherwise agreed in writing. Any travel outside the metropolitan area of Mexico City for supplementary sampling or laboratory coordination shall be billed separately at cost with prior written authorization from the buyer.
- This Purchase Order constitutes a binding agreement between TerraFirma Ingeniería y Desarrollo, S.A. de C.V. and the named Geologist upon signature by both parties. It is governed by the Civil Code of the State of Mexico City and the Federal Civil Code of Mexico.
- The Geologist warrants that all data, interpretations, and recommendations contained in the deliverables are accurate, based on sound geological methodology, and free from intellectual property infringement.
- The Geologist shall maintain professional liability insurance with a minimum coverage of MXN 5,000,000.00 for the duration of the engagement and shall provide a certificate of insurance upon request.
- Confidentiality: All project data, site coordinates, and proprietary information related to the Mexico Mexico City development shall be treated as strictly confidential. The Geologist shall not disclose, publish, or use such information for any purpose other than the performance of this Purchase Order without prior written consent.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including seismic events, which are a recognized risk in Mexico Mexico City), government-mandated shutdowns, or other events beyond reasonable control.
- Disputes arising from this Purchase Order shall be resolved through mediation before the Centro de Conciliación y Arbitraje of the Cámara de Comercio de México, and failing that, through the competent civil courts of Mexico Mexico City.
- Any modification to the scope, schedule, or pricing of this Purchase Order must be documented in a written addendum signed by both parties.
- The Geologist shall comply with all occupational health and safety regulations (NOM-010-STPS) during fieldwork in Mexico Mexico City.
