This Purchase Order is issued by Himalayan Earth Sciences & Geotechnical Consultants Pvt. Ltd. (hereinafter referred to as "the Purchaser") to engage the above-named Geologist (hereinafter referred to as "the Service Provider") for the execution of geological survey, site assessment, and geotechnical advisory services within the Nepal Kathmandu metropolitan area and its surrounding districts. The Geologist shall perform all duties in accordance with the standards set forth by the Nepal Professional Geologists Council and the Department of Mines and Geology, Government of Nepal.

| 4.1 | This Purchase Order is governed by the laws of the Kingdom of Nepal. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 1995 of Nepal. |
| 4.2 | The Geologist shall maintain valid professional indemnity insurance with a minimum coverage of NPR 10,000,000 throughout the duration of this Purchase Order engagement in Nepal Kathmandu. |
| 4.3 | Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon submission of the interim geological report, and 30% upon final acceptance of the Geologist's Technical Report and completion of all fieldwork. |
| 4.4 | All geological data, core samples, borehole logs, and reports produced under this Purchase Order shall become the exclusive property of the Purchaser. The Geologist shall not disclose any proprietary information to third parties without written consent. |
| 4.5 | The Geologist is required to comply with all environmental regulations set by the Nepal Environment Commission and the Department of Environment, Kathmandu. Any environmental permits required for drilling or sampling in the Nepal Kathmandu area shall be obtained at the Purchaser's expense. |
| 4.6 | Force majeure events, including but not limited to earthquakes, monsoon flooding, or government-imposed restrictions in Nepal, shall extend the project timeline proportionally. The Geologist must notify the Purchaser within 48 hours of any such event. |
| 4.7 | The Geologist shall submit weekly progress reports to the Purchaser's project manager in Kathmandu. Failure to submit reports for two consecutive weeks may result in a 5% penalty on the outstanding payment. |
| 4.8 | This Purchase Order is valid for 30 calendar days from the date of issue. If not accepted and signed by the Geologist within this period, the Purchase Order shall automatically lapse. |
