• 4.1 This Purchase Order constitutes a binding agreement between Amsterdam Geological Survey & Consulting B.V. (hereinafter "the Buyer") and the Geologist, Dr. Hendrik van der Berg (hereinafter "the Service Provider"), for the geological services described herein in the Netherlands Amsterdam region.
• 4.2 The Geologist shall comply with all applicable Dutch environmental legislation, including the Environmental Management Act (Wet milieubeheer) and the Soil Contamination Directive (Bodemrichtlijn), throughout the duration of this Purchase Order.
• 4.3 All deliverables, reports, and data produced under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.
• 4.4 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-AMS-2025-00487). Payment shall be transferred via SEPA bank transfer to the account specified by the Geologist.
• 4.5 The Geologist is required to carry professional liability insurance with a minimum coverage of EUR 2,500,000 per occurrence, valid throughout the Netherlands. A certificate of insurance must be provided prior to commencement of fieldwork.
• 4.6 Any changes to the scope of work under this Purchase Order must be agreed upon in writing by both parties. Amendments shall be documented as a formal change order attached to this Purchase Order.
• 4.7 The Geologist shall report any subsurface anomalies, hazardous material discoveries, or deviations from expected geological conditions to the Buyer's Project Director within twenty-four (24) hours of identification.
• 4.8 This Purchase Order is governed by the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.
• 4.9 The Geologist warrants that all geological data, interpretations, and recommendations provided under this Purchase Order shall be accurate, based on sound scientific methodology, and prepared in accordance with the professional standards of the Netherlands Association of Geologists (NAG).
