2. Scope of Services – Geologist Engagement
This Purchase Order is issued by Northland Geotechnical & Environmental Ltd. to engage the services of a qualified Geologist for the comprehensive geological survey, subsurface investigation, and environmental risk assessment of the Waitematā Basin development site located in New Zealand Auckland. The Geologist shall provide all professional geological expertise, fieldwork, laboratory coordination, and reporting in accordance with the New Zealand Geotechnical Society (NZGS) standards and the Resource Management Act 1991 as applicable to the Auckland Region.
The Geologist engaged under this Purchase Order must hold a minimum of ten (10) years of professional experience in New Zealand geological conditions, be a registered member of the Geological Society of New Zealand (GSNZ), and demonstrate specific familiarity with the volcanic, sedimentary, and alluvial geological formations prevalent throughout New Zealand Auckland and the broader Waitematā Harbour catchment area.

4. Delivery and Completion Schedule
All services described in this Purchase Order shall be performed at the project site located in New Zealand Auckland and shall be completed in accordance with the following schedule. The Geologist shall mobilise to the New Zealand Auckland site no later than 21 June 2025. The final Geologist's Report shall be delivered to the client no later than 15 August 2025. Any delays attributable to adverse weather conditions in the Auckland Region or force majeure events shall be subject to a mutually agreed extension of time.
5. Terms and Conditions
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Geologist. Invoices shall be submitted in New Zealand Dollars (NZD) and must include the supplier's GST registration number. Payment shall be made via bank transfer to the account nominated by the Geologist in New Zealand Auckland.
- Intellectual Property: All reports, data, maps, and deliverables produced by the Geologist under this Purchase Order shall become the sole property of Northland Geotechnical & Environmental Ltd. upon full payment. The Geologist retains the right to reference the New Zealand Auckland project in professional portfolios with prior written consent.
- Compliance: The Geologist shall comply with all applicable New Zealand legislation, including the Health and Safety at Work Act 2015, the Resource Management Act 1991, and all Auckland Council bylaws relevant to geological fieldwork in New Zealand Auckland.
- Insurance: The Geologist shall maintain professional indemnity insurance of no less than NZD $5,000,000 per claim and public liability insurance of no less than NZD $10,000,000 for the duration of this Purchase Order engagement in New Zealand Auckland.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the New Zealand Disputes Resolution Act 2012. The courts of New Zealand Auckland shall have exclusive jurisdiction.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Geologist shall be compensated for all services rendered and reasonable expenses incurred up to the date of termination in New Zealand Auckland.
- Confidentiality: All geological data, site information, and project details pertaining to the New Zealand Auckland Waitematā Basin site shall be treated as strictly confidential by the Geologist and shall not be disclosed to any third party without written authorisation.
6. Authorisation and Acceptance
This Purchase Order is issued and authorised by the undersigned representative of Northland Geotechnical & Environmental Ltd. Acceptance of this Purchase Order by the Geologist constitutes full agreement to all terms, conditions, scope of work, and pricing set forth herein for the geological services to be delivered in New Zealand Auckland.
