  1. This Purchase Order is governed by the laws of the Federal Republic of Nigeria and the procurement regulations of the Lagos State Government. All disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
  2. The Geologist engaged under this Purchase Order must hold a valid professional registration with the Nigerian Institute of Mining and Geosciences (NIMAG) and a minimum of ten (10) years of documented experience in geological survey work within the Nigeria Lagos region.
  3. Payment shall be made in three (3) equal installments: 40% upon commencement of work, 35% upon submission of interim reports, and 25% upon final delivery and acceptance of all deliverables. Payment shall be processed within fourteen (14) working days of invoice submission.
  4. The Geologist shall provide weekly progress reports to the Lagos State Geological Survey Authority and shall attend bi-weekly coordination meetings at the Authority's headquarters in Nigeria Lagos.
  5. All geological data, core samples, and reports generated under this Purchase Order shall remain the exclusive property of the Lagos State Geological Survey Authority. The Geologist shall not disclose, publish, or share any proprietary data with third parties without prior written consent.
  6. The Geologist shall comply with all applicable environmental, health, and safety regulations in Nigeria Lagos, including those enforced by the Lagos State Environmental Protection Agency (LASEPA) and the Federal Ministry of Environment.
  7. Any variation or amendment to the scope of work defined in this Purchase Order must be documented in a formal variation order signed by both parties before execution.
  8. The Geologist shall maintain professional indemnity insurance with a minimum cover of NGN 50,000,000 for the duration of this engagement.
  9. This Purchase Order shall be valid until 31 December 2025, or until all deliverables have been completed and accepted, whichever is earlier.
  10. Failure by the Geologist to meet the stipulated timelines without a documented force majeure event shall attract a penalty of 0.5% of the total contract value per day of delay, capped at 10% of the total value.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of a professional Geologist to deliver geological survey and assessment services in Nigeria Lagos. This document constitutes a binding procurement instrument issued by the Lagos State Geological Survey Authority.
